Legal Fees and Costs definition

Legal Fees and Costs means reasonable fees for attorney and paralegal services and all costs and court costs through and including all trial, appellate and post-judgment levels and proceedings incurred in connection with the negotiation and preparation for mediation, arbitration and/or litigation, whether or not an action is actually begun including, without limitation, with respect to the preparation of notices and liens, and the collection of past due Assessments, as well as the enforcement of the Governing Documents. Legal Fees and Costs shall also include: (a) pre- litigation attorneys' fees and costs incurred by the Community Association in enforcing the Governing Documents, and (b) all reasonable fees for attorney and paralegal services and all court and other costs incurred in enforcing and exercising the right to collect all such Legal Fees and Costs incurred by the Community Association. As used herein, the term "costs" shall include costs of all types incurred by the applicable party regardless of whether by law, or uniformor local court rule, such costs are taxable, not taxable or taxable in the discretion of arbitrator or court, as applicable.

  • Services means those functional services ancillary to the supply of the goods, such as transportation and any other incidental services, such as installation, commissioning, provision of technical assistance, training, catering, gardening, security, maintenance and other such obligations of the supplier covered under the contract.

  • Contract Price means the price payable to the supplier under the contract for the full and proper performance of his contractual obligations.

  • Project means the goods or Services described in the Signature Document or a Work Order of this Contract.

  • Parties has the meaning set forth in the Preamble.

  • Party or “Parties” has the meaning set forth in the Preamble.

  • Contractor means the individual or entity, that has entered into this contract with the Commonwealth.

  • rand value means the total estimated value of a contract in Rand, calculated at the time of bid invitation, and includes all applicable taxes;

  • Force Majeure means an event beyond the control of the supplier and not involving the supplier’s fault or negligence and not foreseeable. Such events may include, but is not restricted to, acts of the purchaser in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.

  • Department means the department of health.

  • Goods means all of the equipment, machinery, and/or other materials that the supplier is required to supply to the purchaser under the contract.

  • Corrupt practice means the offering, giving, receiving, or soliciting of anything of value to influence the action of a public official in the procurement process or in contract execution.

  • Customer means the State agency or other entity identified in a contract as the party to receive commodities or contractual services pursuant to a contract or that orders commodities or contractual services via purchase order or other contractual instrument from the Contractor under the Contract. The “Customer” may also be the “Buyer” as defined in the PUR 1001 if it meets the definition of both terms.

  • Affiliate of any specified Person means any other Person directly or indirectly controlling or controlled by or under direct or indirect common control with such specified Person. For the purposes of this definition, “control” when used with respect to any specified Person means the power to direct the management and policies of such Person, directly or indirectly, whether through the ownership of voting securities, by contract or otherwise; and the terms “controlling” and “controlled” have meanings correlative to the foregoing.

  • Effective Date has the meaning set forth in the preamble.

  • Agreement has the meaning set forth in the preamble.

  • Confidential Information has the meaning set forth in Section 6.1.

  • Commission means the Securities and Exchange Commission.

  • Contract means the written agreement entered into between the purchaser and the supplier, as recorded in the contract form signed by the parties, including all attachments and appendices thereto and all documents incorporated by reference therein.

  • Person means any natural person, corporation, limited liability company, trust, joint venture, association, company, partnership, Governmental Authority or other entity.

  • Company has the meaning set forth in the Preamble.

  • Code means the Internal Revenue Code of 1986, as amended.

  • Day means calendar day.

  • Business Day means any day except any Saturday, any Sunday, any day which is a federal legal holiday in the United States or any day on which banking institutions in the State of New York are authorized or required by law or other governmental action to close.

  • Director means a member of the Board.

  • Act means the Securities Act of 1933, as amended.

  • Employee means an employee of the Contractor directly engaged in the performance of work under the contract who has other than a minimal impact or involvement in contract performance.
