Licensee Instance definition

Licensee Instance means each virtual machine instance(s), configured and managed by Licensee that is installed with (or launched from) the Image, provided that Licensee has a right to access and use such instance as part of the Provider Services and, except for Service Provider Licenses, submitted to Licensor the applicable account number of such instance with the Service Provider.

  • If Licensee does not agree to the changed or revised terms, it must stop using Licensee Instance.

  • NewNet grants Licensee a revocable, non-exclusive, non-sub licensable, non-transferable, limited license to download, install, configure the STC Image on a single Licensee Instance and use the Application solely for the business use of Licensee, use the data resulting from, and Documentation for, a Permitted use strictly in accordance with the terms of this Agreement.

  • Licensee will immediately inform Licensor if it believes an unauthorized third party may be accessing the Image or using the Licensee Instance on its behalf.

  • By continuing to access the Image and/or use the Licensee Instance after the effective date of any change to this Agreement, Licensee agrees to be bound by the changed terms.

  • In the event of a late payment (or other breaches of the Agreement by Licensee or a User), Licensor or Seller reserve the right to suspend the access to the Image or the use of the Licensee Instance.

  • Prior to repayment, Licensee must permanently stop the use of any Licensee Image and uninstall Image from any Licensee Instance.

  • Licensee acknowledges and agrees that Licensor and its Affiliates may collect and use the Non-Identifiable Metadata gathered in connection with Licensee’s access to the Image and use of the Licensee Instance, for the purpose of improving the Technology.

  • If Licensee becomes aware of any violation by a User of Licensee's obligations under this Agreement, Licensee will immediately terminate such User's access to the Image and/or Licensee Instance.

  • licensed installer means a person who holds a licence under Article 2.12.3.1 of the Ontario Building Code;

  • Licensor means the copyright owner or entity authorized by the copyright owner that is granting the License.

  • Licensed Property means the portion of the Software and the Documentation to which Customer has purchased a License as identified on an applicable Order. Licensed Property shall include any updates or upgrades to the Licensed Property that AvePoint may at its discretion deliver to Customer.

  • Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).

  • the Licensee means the person (or all the persons) specified in Part 1 of Schedule 1 as licence holder (or joint licence holders);

  • Sublicensees as used herein in either singular or plural shall mean any person or entity other than an AFFILIATED COMPANY to which Company has granted a sublicense under this Agreement.

  • Licensed Know-How means any and all unpatented and/or non-patentable technical data, documents, materials, samples and other information and know‐how that is Controlled by LICENSOR or any of its Affiliates as of the Effective Date or thereafter during the Term that relates to, or is otherwise reasonably necessary or reasonably useful for, the use, Development, manufacture, or Commercialization of the Product. Licensed Know-How shall not include Licensed Patents.

  • Licensee Improvements means any improvement, enhancement, modification, derivative work or upgrade to any of Licensor Patent Rights made, conceived, reduced to practice, affixed or otherwise developed by or on behalf of Licensee during the term of this Agreement and solely as exercised under the License.

  • Permitted Sublessee means the sublessee under a Permitted Sublease.

  • Landlord Parties means Landlord and Property Manager and their respective officers, directors, partners, shareholders, members and employees.

  • Removable Installations means any items listed on Exhibit F attached hereto and any items agreed by Landlord in writing to be included on Exhibit F in the future, (y) “Tenant’s Property” means Removable Installations and, other than Installations, any personal property or equipment of Tenant that may be removed without material damage to the Premises, and (z) “Installations” means all property of any kind paid for by Landlord, all Alterations, all fixtures, and all partitions, hardware, built-in machinery, built-in casework and cabinets and other similar additions, equipment, property and improvements built into the Premises so as to become an integral part of the Premises, including, without limitation, fume hoods which penetrate the roof or plenum area, built-in cold rooms, built-in warm rooms, walk-in cold rooms, walk-in warm rooms, deionized water systems, glass washing equipment, autoclaves, chillers, built-in plumbing, electrical and mechanical equipment and systems, and any power generator and transfer switch.

  • Licensed Space means the indoor and outdoor space on the premises approved by the department for the purpose of providing licensed child care.

  • exclusive licence means a licence from the proprietor of or applicant for a patent conferring on the licensee, or on him and persons authorised by him, to the exclusion of all other persons (including the proprietor or applicant), any right in respect of the invention to which the patent or application relates, and “exclusive licensee” and “non-exclusive licence” shall be construed accordingly;

  • Permitted Sublease means a sublease permitted under Section 7.2.7 of the Lease.

  • Licensee Indemnitees has the meaning set forth in Section 11.2.

  • Licensee Parties has the meaning ascribed to such term in Section 5.1.

  • Permitted User means a person other than an employee of the Company who is authorized by the Company pursuant to and in accordance with Section 2.1(a)(ii) and all applicable Documentation to access and use one or more specific Component Systems.

  • License means any Copyright License, Patent License, Trademark License or other license of rights or interests.

  • Licensors means PRS and MCPS.

  • Licensee Know-How means all Information and Inventions Controlled by Licensee or its Affiliates (other than the Takeda Know-How and Joint Know-How) during the Term that are necessary to Exploit a Licensed Compound or a Licensed Product. Licensee Know-How excludes any Information contained within or Inventions Covered by a published Licensee Patent Right.

  • Permitted Users means employees and Contract Employees of Your Permitted Entity.
