Lilly Improvements definition

Lilly Improvements means Improvements (other than Joint Improvements) the inventors of which (alone or with others) are employees of or others obligated to assign inventions to, Lilly or any of its Affiliates or Permitted Third Party Service Providers in connection with the Development and Commercialization of any Licensed Product, or otherwise based on, or resulting from, such employees’ or others’ [***] to or [***].
Lilly Improvements means any inventions, patentable or not, information and/or data relating to Dapoxetine including, without limitation, processes, formulations, modes of delivery and/or other data, that are owned or controlled by Lilly during the term of this Agreement.
Lilly Improvements means Patent Rights and Know How owned or Controlled by Lilly covering improvements, enhancements or modifications to SGX Process Technology created by or on behalf of Lilly using SGX Process Technology, during the Technology Awareness Period, that Lilly has installed at and are in productive use by the protein crystallography group at Lilly using the SGX Process Technology and are necessary or useful for the operation of the SGX Process Technology.

Examples of Lilly Improvements in a sentence

  • Lilly, acting through patent counsel or agents of its choice, shall be responsible, at its sole cost and expense and in its sole discretion, for the preparation, filing, prosecution and maintenance of all Patent Rights claiming Lilly Improvements.

  • Lilly shall own all Lilly Improvements and bear all patent prosecution costs related thereto and GenuPro shall own all GenuPro Improvements and bear all patent prosecution costs related thereto.

Related to Lilly Improvements

  • Licensee Improvements means any enhancement to or modification or improvement of the Licensed Patents and/or the Proprietary Information created by or on behalf of Licensee and/or any of its subsidiaries.

  • Joint Improvements means (a) any and all Improvements to the Acceleron Technology created, conceived or reduced to practice, and, in the case of patentable Improvements, Invented, solely by Celgene, its Affiliates, agents or by Third Parties acting on their behalf, while performing activities under this Agreement; and (b) any and all Improvements to the Acceleron Technology or Joint Technology created, conceived or reduced to practice, and, in the case of patentable Improvements, Invented, jointly by Acceleron and Celgene, their respective Affiliates, agents or Sublicensees or by Third Parties acting on their behalf, while performing activities under this Agreement; provided, however, that Joint Improvements shall not include any Improvement that is a Celgene Improvement or Acceleron Improvement.
