  • Further, each party shall cooperate in executing and delivering any instrument required to assign, convey or transfer to the other party its interest in Emisphere Technology, Lilly Improvements, therapeutic uses of PTH, HGH or any other of Lilly's proteins/peptides or inventions falling within Section 1.5(h)(iii) should such assignment, conveyance or transfer be required by the terms of this Agreement.

  • Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.

  • Joint Improvements means Improvements the inventors of which are jointly (a) employees of, or others obligated to assign inventions to, ImmunoGen or any Affiliate of ImmunoGen, and (b) employees of, or others obligated to assign inventions to, Lilly or any Affiliate of Lilly.
