Liquidity Certificate definition

Liquidity Certificate has the meaning provided in Section 6.01(k).
Liquidity Certificate means a liquidity certificate in substantially the form of Exhibit K, executed by an Authorized Officer of the Borrower and delivered to the Administrative Agent as required hereunder.
Liquidity Certificate means a certificate substantially in the form of Exhibit J.

Examples of Liquidity Certificate in a sentence

  • As soon as available, but in any event within fifteen (15) days after the end of each month, an Unencumbered Liquidity Certificate, prepared as at the end of such month, duly certified by the chief executive officer, chief financial officer, treasurer or controller that is a Responsible Officer of the Borrowers.

  • During the Covenant Amendment Period the Credit Parties will not permit Liquidity of the Credit Parties as of any date set forth below to be less than the amount set forth in the table below opposite such date as demonstrated by the applicable Liquidity Certificate.

More Definitions of Liquidity Certificate

Liquidity Certificate means a certificate provided by the Chief Financial Officer, Chief Executive Officer or President of the Borrower Representative in accordance with the requirements of Section 5.09.1 of this Agreement in form and substance as Exhibit G attached hereto.
Liquidity Certificate means a Liquidity Certificate substantially in the form of Exhibit O.

Liquidity Certificate means a certificate substantially in the form of Exhibit L. “LLC Division” shall mean the statutory division of any limited liability company into twoor more limited liability companies pursuant to Section 18-217 of the Delaware Limited Liability Company Act or a comparable provision of a different jurisdiction’s laws.
