Liquidity Financial means Liquidity Financial Advisors, Inc., the Purchaser's financial advisor.
Liquidity Financial a registered investment advisor, is acting as financial advisor to Krescent in connection with the Offer and has provided certain financial advisory services to Krescent in connection with the Offer. See Section 11 ("Background of the Offer").

  • Liquidity Funding means (a) a purchase made by any Committed Lender pursuant to its Liquidity Commitment of all or any portion of, or any undivided interest in, an applicable Conduit’s Loans, or (b) any Loan made by a Committed Lender in lieu of such Conduit pursuant to Section 1.1.

  • Liquidity Capitalization means the number, as of immediately prior to the Liquidity Event, of shares of the Company’s capital stock (on an as-converted basis) outstanding, assuming exercise or conversion of all outstanding vested and unvested options, warrants and other convertible securities, but excluding: (i) shares of Common Stock reserved and available for future grant under any equity incentive or similar plan; (ii) any SAFEs; and (iii) convertible promissory notes.
