LTD Employees definition

LTD Employees mean those employees of GE and its Affiliates employed outside the United States and assigned to the Business who are on long-term disability leave.
LTD Employees has the meaning ascribed thereto in Section 9.6(a);
LTD Employees means the employees of the Payroll Business collecting benefits from Long-Term Disability, all of whom are listed on Schedule 1.I (u) hereto;

  • Following the Distribution, SpinCo Employees, SpinCo LTD Employees and Former SpinCo Employees shall not be permitted to acquire shares of Honeywell Common Stock in any stock fund or deferral account under the SpinCo Nonqualified Deferred Compensation Plans (and SpinCo shall cause the Converted NQDC Stock Amounts, if required under the terms of the applicable SpinCo Nonqualified Deferred Compensation Plan, to be invested or notionally invested in an investment other than Honeywell Common Stock).

  • On and after the Distribution, the SpinCo Group shall be responsible for all employer contributions under the SpinCo Nonqualified Deferred Compensation Plans with respect to any SpinCo Employees, SpinCo LTD Employees or Former SpinCo Employees.

  • Honeywell shall have no responsibility for any failure of SpinCo to properly administer the SpinCo Nonqualified Deferred Compensation Plans in accordance with their terms and applicable Law, including any failure to properly administer the accounts of SpinCo Employees, SpinCo LTD Employees or Former SpinCo Employees and their respective beneficiaries in such SpinCo Nonqualified Deferred Compensation Plans.

  • The Honeywell Group shall remain responsible for making all employer contributions under the Honeywell Nonqualified Deferred Compensation Plans with respect to any SpinCo Employees, SpinCo LTD Employees or Former SpinCo Employees relating to periods prior to the Distribution.

  • For the avoidance of doubt, other than the benefits provided under any Honeywell LTD Plan to any SpinCo LTD Employee, all Liabilities with respect to SpinCo LTD Employees (including, without limitation, any Liabilities arising out of any such SpinCo LTD Employee ceasing to participate in, or receive benefits under, any Honeywell LTD Plan for any reason) shall be treated as a Liability of SpinCo and the SpinCo Group in accordance with Section 2.05.

  • Periodically following the Business Transfer Time, Cogint shall calculate the out of pocket cost of the compensation, benefits and other employment-related costs actually incurred by Cogint Group members in employing such SpinCo LTD Employees following the Business Transfer Time (including out of pocket costs associated with terminating the employment of any such SpinCo LTD Employee) and shall provide SpinCo with notice and reasonable documentation of such amount.

  • Except as otherwise specifically provided in this Agreement and subject to Section 7.02, on and after the Distribution, the AdvanSix LTD Employees shall be deemed to be employees of the Honeywell Group for purposes of this Agreement, including participation in the Honeywell LTD Plans.

  • Except as otherwise specifically provided in this Agreement and subject to Section 7.02, at and after the Distribution, the Cable LTD Employees shall be deemed to be Xxxxxx Employees for purposes of this Agreement, including participation in the Xxxxxx LTD Plan and eligibility to receive continued benefits under the Xxxxxx Life Insurance Plan.

  • Except as otherwise specifically provided in this Agreement and subject to Section 8.03, on and after the Distribution, the Retained LTD Employees shall be deemed to be employees of the Parent Group for purposes of this Agreement, including participation in the Parent LTD Plans.

  • HERC Holdings shall reimburse New Hertz Holdings for any ongoing costs associated therewith with respect to such HERC Holdings LTD Employees.

LTD Employees means all Employees who are not members of a union, are not actively engaged in the business of the Companies as of the Closing Date and are receiving benefits under any long-term disability plan, as set forth on Schedule 4.24;

Related to LTD Employees

  • Designated Employees means a person occupying any of the following position in the Company:

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Hired Employees shall have the meaning set forth in Section 7.5(a).

  • Excluded Employees has the meaning set forth in Section 14.1.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Key Employees means Xxxxx Xxxxxxx and Xxxxxxx Xxxxxxx.

  • Casual Employees are employed on an "on call" basis to cover absences due to sick leave, vacation, or other approved leaves, or to augment staff during peak periods or periods of staff shortage.

  • Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.

  • Relevant Employees means the employees who may be affected by a change referred to in subclause (1).

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Union Employees has the meaning set forth in Section 6.12(a).

  • Protected Employees means employees of the Company who were employed by the Company at any time within six (6) months prior to the Determination Date.

  • Technical Employees means those employees having special and specific engineering, geological or other professional skills, and whose primary function in Joint Operations is the handling of specific operating conditions and problems for the benefit of the Joint Property.

  • Public employees retirement system means the retirement plan and program

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Transferred Employee has the meaning set forth in Section 6.01(a).
