LUCENT BUSINESS means: (a) the business and operations of (i) the service provider networks business that provides public networking systems and software to communications service providers and public network operators around the world; (ii) the microelectronics and communications technologies business that designs and manufactures high-performance integrated circuits, power systems, and optoelectronic components for applications in the communications and computing industries; and (iii) all other businesses (including the businesses and operations related to the Excluded Assets) not otherwise included in the Avaya Business; and (b) except as otherwise expressly provided herein, any terminated, divested or discontinued businesses or operations that at the time of termination, divestiture or discontinuation primarily related to the Lucent Business (as described in subsection (a) above) as then conducted.
