Manager Replacement Event definition

Manager Replacement Event has the meaning set forth in Section 7.1.21(b).
Manager Replacement Event. The meaning specified in the Portfolio Management Agreement.
Manager Replacement Event. So long as a JMP Manager is the Manager, (i) a Key Persons Event has occurred and a subsequent Key Persons Cure has not occurred within the Initial Cure Period, (ii) the Required Overcollateralization Ratio with respect to the Class C Notes is not in compliance and has not been cured as provided in Section 12(d), (iii) if the Class A Notes are outstanding, the Class A Notes are rated "A-" or lower by S&P or the Class A Notes are rated "A3" or lower by Moody's (provided that such Manager Replacement Event will not be deemed cured if such Class A Notes are subsequently upgraded with respect to the ratings set forth in this clause (iii)), (iv) the Manager is removed for Cause pursuant to clauses (i) through (vi) of Section 12(c), or (v) the Manager resigns or terminates its obligations under this Agreement.

Examples of Manager Replacement Event in a sentence

  • So long as any Equipment Notes remain outstanding, if a Manager Replacement Event has occurred and is continuing, the Pass Through Trustee shall have the right, but not the obligation, to require the Lessee to replace the Manager as provided in this Section 6.12 but only if the Other Pass Through Trustee, simultaneously therewith exercises its right under Section 6.12 of the respective Other Participation Agreements.

  • In the event that the Students’ Union is suspended as the Manager or otherwise ceases to be the Manager pursuant to a Manager Replacement Event, then upon the expiration of any applicable transition period and in the absence of a notice of change of address, the address for service for notices to the Manager shall be deemed to be the same address as for notices to the University.

  • The foregoing provisions of this Section 25.1 shall not apply where the University is the Manager pursuant to a Manager Replacement Event, in which event the Students’ Union shall provide Repairs and Maintenance to Students’ Union Allocated Space to at least the service level standards as set forth in the Maintenance and Operations Standards component of Building Standards.

  • Upon the occurrence of a Manager Replacement Event pursuant to clause (ii) of the definition thereof, a cure of such Manager Replacement Event may be effected within a period of 30 calendar days from the date of occurrence of such Manager Replacement Event by effecting an issuance of additional Subordinated Notes in accordance with the Indenture.

  • The second sentence of this Section 11.1 shall not apply where the University is the Manager pursuant to a Manager Replacement Event, in which case the Students’ Union shall be responsible for the provision of Caretaking Services to the Conference and Events Loading Dock at its sole expense.

  • Once these conditions, processes, procedures and/or documents have been finalized (collectively, and as may be amended from time to time on mutual agreement, the “Transitional Arrangements”), then they shall be taken into consideration whenever a subsequent Manager Replacement Event shall occur.

  • Index Replacement Event means each of the following events:

  • Load Management Event means a) a single temporally contiguous dispatch of Demand Resources in a Compliance Aggregation Area during an Operating Day, or b) multiple dispatches of Demand Resources in a Compliance Aggregation Area during an Operating Day that are temporally contiguous.

  • Term SOFR Replacement Date has the meaning specified in Section 3.03(b).

  • Payment Event means the event or events giving rise to the right to payment of a Performance Award.

  • Reinvestment Event any Asset Sale or Recovery Event in respect of which the Borrower has delivered a Reinvestment Notice.

  • Relevant Event means any Termination Event or any Mandatory Prepayment Event or any event which after the giving of notice or lapse of time or the satisfaction of any other condition (or any combination thereof) would constitute a Termination Event or a Mandatory Prepayment Event;

  • Significant Event means any Amortization Event or Event of Default.

  • Disruption Event means either or both of:

  • FX Disruption Event ' means the occurrence of any event on any day or any number of consecutive days as determined by the Calculation Agent in its sole and reasonable discretion that affects the Issuer’s currency hedging (if any) with respect to the Products.

  • Substitution Event means, in respect of a Share, any Nationalization, Insolvency or Delisting in respect of such Share, or any Merger Event or Tender Offer in respect of such Share that is deemed by the Calculation Agent to be a Substitution Event, or an occurrence and continuation for at least eight consecutive applicable Exchange Business Days of a Market Disruption Event in respect of such Share.

  • Repayment Event means any event or condition which gives the holder of any note, debenture or other evidence of indebtedness (or any person acting on such holder’s behalf) the right to require the repurchase, redemption or repayment of all or a portion of such indebtedness by the Company or any of its subsidiaries.

  • Optimal Adjustment Event With respect to any Class of Class B Certificates and any Distribution Date, an Optimal Adjustment Event will occur with respect to such Class if: (i) the Principal Balance of such Class on the Determination Date succeeding such Distribution Date would have been reduced to zero (regardless of whether such Principal Balance was reduced to zero as a result of principal distribution or the allocation of Realized Losses) and (ii) (a) the Principal Balance of any Class of Class A Certificates would be subject to further reduction as a result of the third or fifth sentences of the definition of Principal Balance or (b) the Principal Balance of a Class of Class B Certificates with a lower numerical designation would be reduced with respect to such Distribution Date as a result of the application of clause (ii) of the definition of Class B-1 Principal Balance, Class B-2 Principal Balance, Class B-3 Principal Balance, Class B-4 Principal Balance, Class B-5 Principal Balance or Class B-6 Principal Balance.

  • Additional Disruption Event means any of Change in Law, Hedging Disruption and/or Increased Cost of Hedging.

  • Announcement Event means the occurrence of an Announcement Date in respect of a Merger Event or Tender Offer, notwithstanding the fact that such Merger Date or Tender Offer Date may not, or may not be anticipated to, occur on or prior to the Valuation Date for the related Component. The definition of “Announcement Date” in Section 12.1(l) of the Equity Definitions shall be amended by (a) replacing the word “leads” in the third line thereof and in the fifth line thereof with the words “could lead (as determined by the Calculation Agent)” (b) deleting the word “firm” in the second and fourth lines thereof and (c) inserting the words “, and any publicly announced change or amendment to such an announcement (including the announcement of an abandonment of such intention)” at the end of clauses (i) and (ii) thereof. Consequences of Merger Events: Merger Event:

  • Value Adjustment Event means, with respect to any Loan Asset, the occurrence of any one or more of the following events after the related Cut-Off Date:

  • SOFR Benchmark Replacement Date means the Benchmark Replacement Date with respect to the then-current Benchmark;
