Initial Cure Period. If Agilent becomes aware that Keysight or any of its Affiliates is not complying with any Trademark Usage Guidelines, Agilent shall notify Keysight in writing, setting forth in reasonable detail a written description of the noncompliance and any requested action for curing such noncompliance. Keysight shall then have forty-five (45) calendar days after receipt of such notice (“Guideline Initial Cure Period”) to correct such noncompliance or submit to Agilent a written plan to correct such noncompliance, which written plan shall be reasonably acceptable to Agilent, unless Agilent previously affirmatively concurs in writing, in its sole discretion, that Keysight or its Affiliate is in compliance. If Agilent or Keysight becomes aware that an Authorized Dealer is not complying with any Trademark Usage Guidelines, Keysight (but not Agilent) shall promptly notify such Authorized Dealer in writing, setting forth in reasonable detail a written description of the noncompliance and any requested action for curing such noncompliance. Such Authorized Dealer shall then have the Guideline Initial Cure Period to correct such noncompliance or submit to Keysight a written plan to correct such noncompliance, which written plan shall be reasonably acceptable to Keysight and Agilent.

Initial Cure Period. Once Sears, in its sole but good faith discretion, has approved the Cure Plan (“Cure Plan Approval”), Outlet Stores shall have a 120 day cure period, or a longer period as approved by Sears on a case-by-case basis in its sole but good faith discretion (“Initial Cure Period”) from Cure Plan Approval to correct the Quality Issues.
Initial Cure Period. After Licensee submits its Cure Plan to Licensor, the Parties shall each appoint a representative to promptly review and discuss in good faith the proposed Cure Plan. When Licensor, in its sole but good faith discretion, has approved the Cure Plan, Licensee shall have 120 days or such longer period as approved by Licensor on a case-by-case basis in its sole but good faith discretion in which to cure the Quality Issues (“Initial Cure Period”).

If Seller becomes aware that Purchaser or any Subsidiary is not complying with any Quality Standard, Seller shall notify Purchaser in writing, setting forth in reasonable detail a written description of the noncompliance and any requested action for curing such noncompliance. Following receipt of such notice, Purchaser shall make an inquiry promptly and in good faith concerning each instance of noncompliance described in the notice. Purchaser shall then have thirty (30) days after receipt of such notice (“Initial Cure Period”) to correct such noncompliance or submit to Seller a written plan to correct such noncompliance, which written plan is reasonably acceptable to Seller, unless Seller previously affirmatively concurs in writing, in its sole discretion, that Purchaser or its Subsidiaries is not in noncompliance.

Following receipt of such notice, Keysight shall make an inquiry promptly and in good faith concerning each instance of noncompliance described in the notice. Keysight shall then have thirty (30) calendar days after receipt of such notice (“Initial Cure Period”) to correct such noncompliance or submit to Agilent a written plan to correct such noncompliance, which written plan shall be reasonably acceptable to Agilent, unless Agilent previously affirmatively concurs in writing, in its sole discretion, that Keysight or its Affiliates is in compliance.

If Licensor becomes aware that Licensee is not complying with any Control Specifications, Licensor shall notify Licensee in writing, setting forth, in reasonable detail, a written description of the noncompliance and any suggestions for curing such noncompliance. Licensee shall then have twenty (20) days after receipt of such notice (the "Initial Cure Period") to correct or submit to Licensor a written plan to correct such noncompliance.
Initial Cure Period. If 3Com becomes aware that Palm or any Subsidiary or Authorized Dealer sublicensee is not complying with any Quality Standards, 3Com shall notify Palm in writing, setting forth in reasonable detail a written description of the noncompliance and any requested action for curing such noncompliance. Palm shall then have thirty (30) days after receipt of such notice ("Initial Cure Period") to correct such noncompliance or submit to 3Com a written plan to correct such noncompliance which written plan is reasonably acceptable to 3Com.
Initial Cure Period. If MRV becomes aware that Luminent or any Subsidiary or Authorized Dealer is not complying with any Trademark Usage Guidelines, MRV shall notify Luminent in writing, setting forth in reasonable detail a written description of the noncompliance and any requested action for curing such noncompliance. Luminent shall then have sixty (60) days with regard to noncompliance by Authorized Dealers and thirty (30) days with regard to noncompliance by Luminent or any Subsidiary after receipt of such notice ("Guideline Initial Cure Period") to correct such noncompliance or submit to MRV a written plan to correct such noncompliance which written plan is reasonably acceptable to MRV.

If HP becomes aware that Agilent or any Subsidiary, Affiliated Company or Authorized Dealer is not complying with any Trademark Usage Guidelines, HP shall notify Agilent in writing, setting forth in reasonable detail a written description of the noncompliance and any requested action for curing such noncompliance. Agilent shall then have sixty (60) days with regard to noncompliance by Authorized Dealers and thirty (30) days with regard to noncompliance by Agilent or any Subsidiary or Affiliated Company after receipt of such notice ("Guideline Initial Cure Period") to correct such noncompliance or submit to HP a written plan to correct such noncompliance which written plan is reasonably acceptable to HP.
