Market Option definition

Market Option means an Option having a Base Price equal to the Fair Market Value of a share of LINTA Stock on the Effective Date.

  • On exercise of all or any portion of this Market Option, Vector shall, within ten days of the receipt of certificates representing the Option Shares and other items required by subparagraph (b), advise its Transfer Agent and Registrar of the required transfer of the number of Option Shares specified and the names in which such shares are to be registered pursuant to the exercise of this Market Option.

  • If Vector shall declare a dividend payable in cash on its Common Shares and shall at substantially the same time offer to its shareholders a right to purchase new Common Shares from the proceeds of such dividend or for an amount substantially equal to the dividend, all Common Shares so issued shall, for the purpose of this Market Option, be deemed to have been issued as a share dividend.

  • Subject to the terms contained in this Market Option, this Market Option may be assigned by Tradelink in whole or in part by execution by Tradelink of the form of assignment attached to this Agreement.

  • If the rights represented hereby shall not be exercised during the Option Exercise Period, this Market Option shall become and be void without further force or effect, and all rights represented hereby shall cease and expire.

  • Tradelink or its assigns will pay all taxes in respect of the issue or transfer of this Market Option or the Option Shares issuable upon exercise of this Market Option.

  • During the Option Exercise Period, Tradelink or its assigns may exercise this Market Option upon written notice to V'Power specifying the number of Option Shares to be purchased and the Option Exercise Price (the "Option Notice).

  • In the event of the exercise of this Market Option in part only, Tradelink shall have the right at any time and from time to time to exercise this Market Option on one or more additional occasions until Tradelink shall have purchased the number of Option Shares purchasable under this Market Option as to which this Market Option has not been exercised.

  • This Market Option shall be governed by, and construed in accordance with, the laws of the State of Florida, which is intended to be different than the other aspects of this Agreement except to the extent the other terms and conditions of this Agreement are construed as part of this Market Option.

  • Effective as of the end of the period described in Clause (a), (b) or (c), above, a Participant will be deemed to have designated the Money Market Option as the successor Crediting Rate Alternative for any amounts in the Participant’s Account that otherwise remained allocated to the Company Stock Fund.

  • If a Participant fails to select a Crediting Option for deferrals or accruals made after the Effective Date he shall be deemed to have elected the Money Market Option.

Related to Market Option

  • Stock Index Option means an exchange traded option entitling the holder, upon timely exercise, to receive an amount of cash determined by reference to the difference between the exercise price and the value of the index on the date of exercise.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Replacement Option means an Option that is granted when a Participant uses a Common Share held or to be acquired by the Participant to exercise an Option and/or to satisfy tax withholding requirements incident to the exercise of an Option.

  • Covered Call Option means an exchange traded option entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities (excluding Futures Contracts) which are owned by the writer thereof and subject to appropriate restrictions.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Director Option means an Option granted pursuant to Section 6.

  • Optioned Stock means the Common Stock subject to an Option.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Option means a stock option granted pursuant to the Plan.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Call Option Date As defined in Section 10.01(a) hereof.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

  • Approved 102 Option means an Option granted pursuant to Section 102(b) of the Ordinance and held in trust by a Trustee for the benefit of the Optionee.

  • Free-Standing Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is not granted in tandem with an Option Right.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:
