Material Licence definition

Material Licence means, with respect to the Borrower or a Restricted Subsidiary, any licence, authorisation or concession to operate its current business, which, at the time of determination, accounts for more than 10% of the EBITDA for the four full fiscal quarters next preceding the date of determination for which consolidated financial statements are available.
Material Licence means all licences for the use of radio frequencies for mobile telecommunications held by the Vodafone Target Group on 1 January 2016;
Material Licence means the Issuer’s gas transporter licence granted pursuant to section 7 of the Gas Act, with respect to its transportation of gas and any other licences notified as such by the Issuer to the Trustee;

Examples of Material Licence in a sentence

  • Amend, vary or alter any Material Contract or Material Licence in a manner that would reasonably be expected to have a Material Adverse Effect.

  • It has obtained, as of the Closing Date, all necessary consents, including consents of landlords to the granting of a security interest in each Material Contract and Material Licence pursuant to the Security Documents.

  • No event has occurred and is continuing which would constitute a material breach of or a default under any such Material Contract or Material Licence.

  • A true and complete certified copy of each Material Contract and Material Licence existing at the Closing Date, including after giving effect to the FNL Transaction, has been delivered to the Lender and each Material Contract and Material Licence is in full force and effect.

  • As at the date of satisfaction of the condition set out in paragraph 1 of this Schedule 1, no Relevant Regulatory Authority having issued a decision which results in either revocation of or a change to the terms of any Material Licence, in each case, which would result in a material adverse change.

Material Licence means any:
Material Licence means, in relation to a Target Group, each licence (including those relating to telecommunications and radio frequency), consent, permit, authorisation or other permission or approval that is required pursuant to Applicable Laws for or in connection with the carrying on of the business being carried on by the Target Group taken as a whole as at the date of this Agreement and the absence of which would have a material adverse effect on the business of the Target Group;
Material Licence any Material Licence is revoked, where such revocation has a Material Adverse Effect (and, for the avoidance of doubt, no such Material Adverse Effect shall occur in circumstances where a Material Licence is revoked, but a similar licence is subsequently granted to another member of the Group); or
Material Licence has the meaning given in paragraph 6.1 of Schedule 7;
Material Licence means all Permits issued by any Governmental Authority, or any applicable stock exchange or securities commission, to the Corporation and which are at any time on or after the date of this Agreement, (i) necessary or Material to the Business and operations of the Corporation (including the construction of the Facility on the Original Parcel); or (ii) designated by the Purchaser, acting reasonably, as a Material Licence, provided that the Purchaser has notified the Corporation of such designation, (iii) those Material Licences existing as of the date of this Agreement listed in Schedule D;
