Member Guarantor means, as of the date of Closing, each Member identified as a “Member Guarantor” on Schedule 5.4 and, thereafter, each other Member that has executed and delivered a Member Guarantee pursuant to Section 9.8, in each case that has not been released from its Member Guarantee pursuant to Section 9.8(c).

  • If audited financials are not available for the Proposer, an Equity Member, Guarantor or Lead Contractor (if applicable), the QS shall include unaudited financial statements for such entity, certified as true, correct and accurate by the chief financial officer (“CFO”), treasurer or equivalent officer of the entity.

  • Such Member Guarantor has the corporate or other organizational power and authority to own or hold under lease the properties it purports to own or hold under lease, to transact the business it transacts and proposes to transact, to execute and deliver this Deed of Guarantee and to perform the provisions hereof.
