Members of Holdings definition

Members of Holdings means each “Member” of Holdings, as defined in the Holdings Operating Agreement (as the same exists as of the date hereof). As of the date hereof the Members of Holdings are as set forth in the first column of Exhibit B attached hereto.
Members of Holdings means the holders of membership interests in Holdings.

  • The Company agrees to record any transfer or distribution of Common Stock from the Trust to the Trust Beneficiaries and any transfer or distribution of Common Stock from Holdings to the Members of Holdings made in accordance with the terms of this Agreement.

  • In the event that PE does not contribute the Defaulting Amount within such thirty (30) day period, for the twenty (20) days thereafter, the other Members of Holdings, on a pro-rata basis, shall have the option of contributing all, but not less than all, of the Defaulted Amount in exchange for Membership Interests equal to the PE Membership Interest reduction.

  • Members of Holdings have an economic interest in, and relatives are employed by, the Company’s insurance broker.

  • Except as specifically provided in Section 6.8 of this Agreement and that Agreement of Certain Matters Among the Members of Holdings executed contemporaneously herewith, the parties shall each be responsible for their own legal expenses and the cost of their consultants, and experts in connection with the negotiation and execution of this Agreement and the other Related Documents.

  • Accordingly, the federal income tax consequences of the Debtors “flow through” to the Members of Holdings and are reported on the tax returns of its Members.

  • The term of Holdings shall be indefinite, except that Holdings may be terminated by agreement of two-thirds of the Members of Holdings entitled to vote and the consent of the Manager to dissolve and terminate Holdings; the entry of a decree of judicial dissolution under the Act; Administrative dissolution under the Act or as may be otherwise provided in the Operating Agreement for Holdings.

  • T/SF and each of the Subsidiaries agree to vote as Members of Holdings for the election of the board of managers of Holdings, as determined by T/SF.

Related to Members of Holdings

  • Guarantor’s Board of Directors means, with respect to any Guarantor, either the board of directors of such Guarantor or any duly authorized committee of that board.

  • Members of the Immediate Family means with respect to any individual, each parent (whether by birth or adoption), spouse, or child or other descendants (whether by birth or adoption) of such individual, each spouse of any of the aforementioned Persons, each trust created solely for the benefit of such individual and/or one or more of the aforementioned Persons, and each legal representative of such individual or of any aforementioned Persons (including without limitation a tutor, curator, mandatary due to incapacity, custodian, guardian or testamentary executor), acting in such capacity under the authority of the law, an order from a competent tribunal, a will or a mandate in case of incapacity or similar instrument. For the purposes of this definition, a Person shall be considered the spouse of an individual if such Person is legally married to such individual, lives in a civil union with such individual or is the common law partner (as defined in the Income Tax Act (Canada) as amended from time to time) of such individual. A Person who was the spouse of an individual within the meaning of this paragraph immediately before the death of such individual shall continue to be considered a spouse of such individual after the death of such individual;

  • Financial Member means a person who has paid the required membership fee and is listed on the Register of Members.

  • EDFR means the Eurosystem Deposit Facility Rate, the rate on the deposit facility, which banks may use to make overnight deposits with the Eurosystem (comprising the European Central Bank and the national central banks of those countries that have adopted the Euro) as published on the Website of the European Central Bank;

  • Special Member means, upon such person’s admission to the Company as a member of the Company pursuant to Section 5(c), a person acting as Independent Director, in such person’s capacity as a member of the Company. A Special Member shall only have the rights and duties expressly set forth in this Agreement.

  • Minority Group means any of the following racial or ethnic groups:

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;

  • Indirect holdings means all securities of a company that are held in an account or fund, including a mutual fund, that is managed by one or more persons who are not employed by the state treasurer or a retirement system, if the state treasurer or retirement system owns shares or interests either:

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Teaching staff member means an employee who holds a position for which a certificate issued by the New Jersey State Board of Examiners is required.

  • Holdings LLC Agreement means the Third Amended and Restated Limited Liability Company Agreement of Holdings, dated on or about the date hereof, as such agreement may be amended from time to time.

  • Members means the persons who are duly registered as the holders from time to time of shares in the register including persons who are jointly so registered.

  • Ex Officio Member means a nonvoting member of the commission.

  • Intermediate Holdco means Sunnova Intermediate Holdings, LLC, a Delaware limited liability company.

  • Permitted Holdings Debt has the meaning assigned to such term in Section 6.01(a)(xviii).

  • Holdings has the meaning specified in the introductory paragraph to this Agreement.

  • Preferred Member means a Member holding Preferred Units.

  • Traditional member of the National Guard or federal reserves means an active member of the Selected Reserve subject to mobilization and deployment for which he or she attends monthly and annual training periods.

  • Corporate Member means, corporate entity who have entered into a Membership Agreement with DOCOMO BIKESHARE, INC. under the Bicycle Rental (Sharing) system in pursuant to Article 3, such as profit corporations, non-profit corporations, public corporations, and those with juridical personality by law.

  • Parent Guarantor has the meaning specified in the recital of parties to this Agreement.

  • Intermediate Holding Company means any Subsidiary of Holdings (of which Holdings, directly or indirectly, owns 100% of the issued and outstanding Equity Interests) that, directly or indirectly, owns 100% of the issued and outstanding Equity Interests of the Lead Borrower.

  • Successor Holdings has the meaning assigned to such term in Section 6.03(a)(v).

  • Direct holdings means all publicly traded securities of a company that are held directly by the state treasurer or a retirement system in an actively managed account or fund in which the retirement system owns all shares or interests.

  • Intermediate Holdings shall have the meaning assigned to such term in the introductory paragraph of this Agreement.

  • Ultimate Parent means a Company, which owns not less than fifty-one percent (51%) equity either directly or indirectly in the Parent and Affiliates.

  • OpCo has the meaning set forth in the Preamble.
