Minimum Required Deliveries definition

Minimum Required Deliveries means, in any Contract Year, Scheduled Energy Delivered to Buyer equal to of the Buyer’s Percentage Entitlement of Metered Output in such Contract Year (in each case measured on an hourly basis) and a corresponding amount of RECs in such Contract Year.
Minimum Required Deliveries means, in any Contract Year, Purchased Energy Delivered to Buyer equal to ninety percent (90%) of the Buyer’s Percentage Entitlement of Metered Output in such Contract Year (in each case measured on an hourly basis) and a corresponding amount of RECs in such Contract Year.
Minimum Required Deliveries means, in any Contract Year, Scheduled Energy Delivered to Buyer equal to eighty-five percent (85%) of the total Metered Output of the Facility (in each case measured on an hourly basis), and a corresponding amount of all other Products, in such Contract Year.

Examples of Minimum Required Deliveries in a sentence

  • In the event that Seller fails to Deliver the Minimum Required Deliveries in any Contract Year, and such failure is not excused under the express terms of this Agreement (including, without limitation, Section 4.2(a)) (a “Delivery Failure”), Seller shall pay Buyer an amount for such Delivery Failure (measured in MWh and/or RECs) equal to the Cover Damages.

  • Initial Required Registration Amount means (I) the sum of (i) the number of Common Shares and (ii) the maximum number of Warrant Shares issued and issuable pursuant to the Warrants, without regard to any limitations on exercise of the Warrants or (II) such other amount as may be permitted by the staff of the SEC pursuant to Rule 415.

  • Additional Required Registration Amount means (I) any Cutback Shares not previously included on a Registration Statement, all subject to adjustment as provided in Section 2(f) or (II) such other amount as may be permitted by the staff of the SEC pursuant to Rule 415, without regard to any limitations on exercise of the Warrants.

  • Conversion Floor Price Condition means that the relevant Alternate Conversion Price is being determined based on clause (x) of such definitions.

  • Share Delivery Quantity For any Settlement Date, a number of Shares, as calculated by the Calculation Agent, equal to the Net Share Settlement Amount for such Settlement Date divided by the Settlement Price on the Valuation Date for such Settlement Date.

  • Minimum Hourly Work Requirement means the work hours over a given time period that are required of you by your Employer in order to be eligible for coverage. Your Minimum Hourly Work Requirement is specified in the Schedule of Benefits.

  • Additional Day-ahead Scheduling Reserves Requirement means the portion of the Day- ahead Scheduling Reserves Requirement that is required in addition to the Base Day-ahead Scheduling Reserves Requirement to ensure adequate resources are procured to meet real-time load and operational needs, as specified in the PJM Manuals.

  • Minimum Equity Amount shall have the meaning provided in the recitals to this Agreement.
