Minimum Settlement Amount definition

Minimum Settlement Amount means the minimum total payment of ten million dollars ($10,000,000.00) that Xxxxxxxx-Xxxxx agrees to pay to satisfy valid Claims and Litigation Costs and Expenses. The Minimum Settlement Amount includes four million dollars ($4,000,000.00) in credit that is attributable to the amount of claims Xxxxxxxx-Xxxxx previously paid through activated refund cards issued through the Recall and Refund Program. Thus, this Parties agree that the “Minimum Settlement Amount” of ten million dollars ($10,000,000.00) is comprised of: (1) the four million dollar ($4,000,000.00) credit, and (2) an additional six million dollars ($6,000,000.00) to be paid toward the satisfaction of the Minimum Settlement Amount.   • Maximum Settlement Amount means the maximum amount the Company may be required to pay pursuant to this Settlement, which is the sum of One Hundred Forty-Five Thousand Dollars ($145,000), including any of the Company’s employer-side share of FICA, FUTA, and other similar, mandatory employer-side payroll taxes.
