Minimum Settlement Amount means the minimum total payment of ten million dollars ($10,000,000.00) that Xxxxxxxx-Xxxxx agrees to pay to satisfy valid Claims and Litigation Costs and Expenses.   • Maximum Settlement Amount means $500,000,000 as amended or modified in accordance with Appendix E.
