Minimum Stock Amount definition

Minimum Stock Amount means the lowest whole number of shares of Acquiror Stock which, if multiplied by the Average Closing Price, results in a dollar amount at least equal to 60 percent of the Total Consideration.
Minimum Stock Amount has the meaning set forth in Section 2.3.3.
