Minimum Subscription Closing Date as used herein shall mean the first full business day following the Minimum Subscription Date or such day thereafter as shall be mutually agreed upon by you and the Company.

Minimum Subscription Closing Date means the date on which the Managing Member shall mail or otherwise furnish to Dealer Manager notification that subscriptions and payments for an aggregate of at least 6,000 Units have been received and accepted by the Managing Member and deposited with the Escrow Agent. In the event that subscriptions and payments for at least 6,000 Units shall not have been received and accepted by the Managing Member on or prior to ____________, 2001, this Agreement will terminate and neither the Fund nor the Managing Member shall have any further obligation or liability hereunder to Dealer Manager or Participating Brokers.   • Put Closing Date shall have the meaning set forth in Section 2.3.8.
