If, at any time, the Indicative Value for the Securities on any Trading Day (1) equals $5.00 or less or (2) decreases 60% from the closing Indicative Value on the previous Monthly Valuation Date, all issued and outstanding Securities will be automatically accelerated and mandatorily redeemed by the Company (even if the indicative value would later exceed $5.00 or increase from the 60% level on such Acceleration Date or any subsequent Trading Day) for a cash payment equal to the Acceleration Amount.
The Trust will also deliver (i) a Fitch AMPS Asset Coverage Report to the Auction Agent and Fitch Ratings as of each Monthly Valuation Date on or before the third Business Day after such date and (ii) a Moody’s AMPS Asset Coverage Report to the Auction Agent and Moody’s as of each Quarterly Valuation Date on or before the third Business Day after such date.
The Trust will also deliver (i) a Fitch APS Asset Coverage Report to the Auction Agent and Fitch Ratings as of each Monthly Valuation Date on or before the third Business Day after such date and (ii) a Moody’s APS Asset Coverage Report to the Auction Agent and Moody’s as of each Quarterly Valuation Date on or before the third Business Day after such date.
If the amount of a distribution under the Plan cannot be made by the date herein specified for payment due to lack of necessary information, inability to locate a Member or Beneficiary or any other cause beyond the reasonable control of the Trustee or Company, payment thereof may be made as soon as practically possible, based on the value of Plan Shares as of the last Monthly Valuation Date prior to such payment.
At least annually, the Company shall furnish to each Member and Beneficiary of each deceased Member a written statement setting forth the value of his Account and Plan Shares in each Investment Fund and the number of Company Shares corresponding to Plan Shares in the GenCorp Stock Fund as of the last Monthly Valuation Date in the calendar year.
