Mortgage SNDA definition

Mortgage SNDA means a subordination, non-disturbance and attornment agreement between a Mortgagee and Tenant in the form annexed as Exhibit D-1 hereto, and in proper form for recording, together with such changes thereto that are both proposed by a Mortgagee and approved by Tenant; it being agreed that Tenant shall not unreasonably withhold its approval of any such proposed change so long as (i) such proposed change is customary (at the time in question), and (ii) such proposed change does not (to more than a de minimis extent) decrease Tenant’s rights, or increase Tenant’s obligations, from those contained in the form of Mortgage SNDA annexed as Exhibit D-1 hereto.
Mortgage SNDA shall have the meaning given such term in the Lease Agreement.
Mortgage SNDA means a Subordination, Nondisturbance, and Attornment Agreement among a Lender, the Landlord and the Tenant, pursuant to which this Master Lease is subordinated to a Mortgage and any Mortgage Loan Documents.

Examples of Mortgage SNDA in a sentence

  • Existing Mortgage shall execute, acknowledge and deliver a Mortgage SNDA with respect to such Existing Mortgage.

  • Simultaneous herewith, Tenant and each holder of any Mortgage identified in the preceding sentence has executed and delivered a Mortgage SNDA with respect to such Mortgage.

More Definitions of Mortgage SNDA

Mortgage SNDA means an agreement among Landlord, Tenant and a Mortgagee of the Premises in a commercially reasonable form, providing in essence that (a) Mortgagee consents to this Lease, (b) this Lease is subordinate to the Mortgage and subject to all of the provisions, terms and conditions thereof, (c) in the event that Mortgagee succeeds to Landlord's interest hereunder due to foreclosure of the Mortgage or otherwise, Tenant shall attorn to Mortgagee, and Mortgagee, provided that Tenant is not in default hereunder after any applicable notice and cure period, shall recognize this Lease and Tenant's rights pursuant hereto and shall not disturb Tenant's possession hereunder and (d) Mortgagee shall not be responsible for Landlord's obligations under this Lease unless and until Mortgagee so succeeds to Landlord's interest hereunder.

  • Mortgage servicer means the mortgagee or a person other than the mortgagee to whom a mortgagor or the mortgagor’s successor in interest is instructed by the mortgagee to send payments on a loan secured by the mortgage.
