Names and Marks definition

Names and Marks means Trademarks, monograms, Domain Names and other source or business identifiers.

Names and Marks as used herein shall mean and include all patents, licenses, trademarks, service marks and names used in connection with the operation of the Property, and all symbols, emblems and logos used in connection with the ownership or operation of the Property, whether in black and white or in color, and irrespective of size, and all of Assignor's right, title and interest in and to all goodwill associated therewith, including, without limitation the name "Valley View Industrial Center".

Names and Marks has the meaning ascribed to such term in Section 4.17(a).

Examples of Names and Marks in a sentence

• The Buyer and its Affiliates shall use commercially reasonable efforts to ensure that other users of any Duke Names and Marks, whose rights terminate upon the Closing pursuant to this Section 14.1, shall cease use of the Duke Names and Marks, except as expressly authorized thereafter by Sellers.

• This Agreement and all of Controlled Affiliate's rights hereunder shall immediately terminate without any further action by any party or entity in the event that: (i) any one of the Controlling Plans ceases to be authorized to use the Licensed Marks and Name; or (ii) pursuant to Paragraph 15(a)(x) of the Blue Cross License Agreement any one of the Controlling Plans ceases to be authorized to use the Licensed Names and Marks in the Region.

• This Agreement and all of Controlled Affiliate's rights hereunder shall immediately terminate without any further action by any party or entity in the event that: (i) any one of the Controlling Plans ceases to be authorized to use the Licensed Marks and Name; or (ii) pursuant to Paragraph 15(a)(x) of the Blue Shield License Agreement any one of the Controlling Plans ceases to be authorized to use the Licensed Names and Marks in the Region.

• The Company recognizes the value of the goodwill associated with the Names and Marks and the proprietary rights therein and thereto.

• This Agreement and all of Controlled Affiliate’s rights hereunder shall immediately terminate without any further action by any party or entity in the event that: (i) any one of the Controlling Plans ceases to be authorized to use the Licensed Marks and Name; or (ii) pursuant to Paragraph 15(a)(x) of the Blue Shield License Agreement any one of the Controlling Plans ceases to be authorized to use the Licensed Names and Marks in the Region.

More Definitions of Names and Marks

Names and Marks means the commercial trade names, trademarks, service marks and other commercial symbols, including associated logos, now or hereafter selected, used or promoted by the Company in connection with its franchised system offering residential and commercial building inspection services or related products and/or services.

Names and Marks means the tradenames and logos attached hereto on Schedule 1.

Names and Marks means, with respect to each Party, all trademarks, service marks, domain names, trade names, trade dress, and corporate names of such Party, and other identifiers of source, containing, incorporating or related thereto, including, with respect to Seller, the following name: “Kala,” together with all associated logos and all variations thereof.

Names and Marks means those applications and registrations for trade names, trademarks, service marks and logos used by the Target Company prior to the Closing listed in Exhibit 1.1(a).

Names and Marks means the Company's general intangibles of any kind or nature whatsoever related to the xxxx "XxXxx'x" and the formulae, label and bottle designs and other packaging, and research and development related thereto, including but not limited to any and all names, insignias, labels, logos, commercial symbols, slogans and other identification schemes, patents, patent applications, copyrights, trademarks, service marks, trade names, trade secrets, customer or supplier lists, manuals, operating instructions, permits and franchises and/or applications that may be controlled from time to time by the Company for use in association with xxxx "XxXxx'x" and/or the Products, including but not limited to those listed on Schedule "B" attached hereto.
