Pacific Holding and each other Borrower shall maintain in full force and effect, in the name of the relevant Borrower, all Necessary Project Approvals (other than any such failure to maintain or obtain that could not reasonably be expected to have a Material Adverse Effect on the relevant Borrower or Plant).

Each Plant is and will continue to be owned and maintained in material compliance with all applicable Laws and the requirements of all Necessary Project Approvals.
