Negative Option Basis definition

Negative Option Basis means a fee arrangement whereby a Subscriber is charged alone, or in any combination, a Service Charge, a separate PPV Charge or VOD Charge, as applicable, or other charge but is entitled to a reduction or series of reductions thereto on a program-by-program basis in the event such Subscriber affirmatively notifies Licensee of such Subscriber’s determination not to receive or have available for reception such particular program.
Negative Option Basis means a fee arrangement whereby a consumer is charged alone, or in any combination, a service charge, a separate charge or other charge but is entitled to a reduction or series of reductions thereto on a program-by-program basis or service-by-service basis, as the case may be, in the event such consumer affirmatively notifies the distributor of such consumer’s determination not to receive or have available for reception such particular program or such particular service, as the case may be.

  • An Un-Tethered STE SOD Service shall be required to charge a periodic subscription fee no more frequently than monthly (and in no event shall an Un-Tethered STE SOD Service be made available on a Negative Option Basis.).

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Nonstatutory Option means a stock option not described in Sections 422(b) or 423(b) of the Code.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Exercise Valuation Date means the first Scheduled Trading Day of the month following the expiry of 35 calendar days after the Exercise Date. For the avoidance of doubt, the 35 calendar day period is mandatory and non-waivable by either the Issuer or the Holder.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.
