Net Realisation Proceeds definition

Net Realisation Proceeds means the net proceeds realised from the sale, assignment, novation or other disposal (a “Disposal”) of the rights of the lender of record of the Relevant Portion of the Relevant Proportion of the principal amount of the Loan which is the subject of the Loan Participation Agreement after deduction of all costs, charges, expenses, liabilities (including any taxes, stamp duty, stamp duty reserve taxes and documentary taxes) relating to such Disposal.
Net Realisation Proceeds means, in relation to Units which are the subject of a realisation request, the Gross Realisation Proceeds in respect of such Units, after deducting any Realisation Charges and any other charges (estimated or otherwise) which in the opinion of the Manager are applicable to such Units.

  • For the avoidance of doubt, the Bank Finance Parties will have no claim or security interest in the Net Realisation Proceeds.

  • Net Realisation Proceeds shall be kept, until applied as contemplated above, in the mandatory offer holding account at NSNCo over which the holders of the New Secured Notes (the “New Secured Noteholders”) shall have a sole first ranking security interest.

  • Amounts held in such accounts shall be released on the earlier of (i) the original maturity of the relevant loan or receivable (as at the date of the Investment Agreement) to which such amount relates and (ii) three months after the Refinancing Closing Date into the mandatory offer holding account at NSNCo and shall constitute Net Realisation Proceeds.
