Net Revenue Amount definition

Net Revenue Amount means an amount, which may be positive or negative, equal to (i) the aggregate gross cash revenues, proceeds, receipts, reimbursements and credits of the Company and the Wholly-Owned Subsidiaries actually collected by or on behalf of the Company and the Wholly-Owned Subsidiaries (including in respect of the Transferred Assets), excluding Excluded Revenues, during the Interim Period, plus (ii) the Partially-Owned Subsidiary Lock-Box Amount with respect to the Interim Period, minus (iii) without duplication, any Permitted Capital Expenditures or Permitted Operating Expenditures.
Net Revenue Amount means, as of any Settlement Date, (x) the amount of Collections received by the Loan Parties (or Parent, with respect to Collections received prior to the Closing Date) for the twelve month period ending as of the last day of the most recently ended Settlement Period with respect to amounts due and payable during such twelve month period minus (y) the aggregate Servicing Fee paid by the Borrower during the twelve month period ending as of the last day of the most recently ended Settlement Period minus (z) the Corporate Allocation Amount to be paid on such Settlement Date plus the Corporate Allocation Amounts paid on the previous three (3) Settlement Dates; provided that for the first three (3) Settlement Dates after the Closing Date, (i) the amount described in clause (y) shall be equal to the Servicing Fee paid during the period commencing on the Closing Date and ending on the last day of the most recently ended Settlement Period multiplied by a fraction, the numerator of which is 365 and the denominator of which is the number of days in such period, and (ii) the amount described in clause (z) shall be equal to (A) the Corporate Allocation Amount to be paid on such Settlement Date multiplied by four, in the case of the first Settlement Date, (B) the Corporate Allocation Amount paid on such Settlement Date plus the Corporate Allocation Amount paid on the previous Settlement Date multiplied by two, in the case of the second Settlement Date, and (C) the Corporate Allocation Amount to be paid on such Settlement Date plus the Corporate Allocation Amounts paid on the previous two Settlement Dates multiplied by four-thirds, in the case of the third Settlement Date.
Net Revenue Amount means an amount equal to the sum of the following items for which Assignor has received payment within such Calendar Month, or in the case of the Calendar Month in which the Execution Date falls, within the period commencing on the Effective Date and ending on the last day of such Calendar Month, to the extent such amounts are attributable to any Eligible Well:

  • Once the Amortization Amount has been paid on each Amortization Date, the balance of the Net Revenue Amount relating to the Oil and Gas Properties for the calendar month immediately preceding the applicable Amortization Date shall be available to ICF and/or TNEC.

More Definitions of Net Revenue Amount

Net Revenue Amount for the period ended as of the end of any particular calendar quarter, shall be the aggregate amount of Net Revenue during the four immediately preceding consecutive calendar quarters.
Net Revenue Amount means the First Earnout Net Revenue, the Second Earnout Net Revenue or the Third Earnout Net Revenue, as applicable.
Net Revenue Amount means the consolidated net revenue of the Surviving Corporation and its controlled affiliates for fiscal year 2008, which revenue is determined in accordance with Specified Accounting Principles and which revenue includes, without limitation, revenue resulting from services, if any, provided by the Surviving Corporation to Parent or any affiliates of Parent (other than any controlled affiliates of the Surviving Corporation) that is calculated based on the Fair Market Value of such services; provided, however, that the Net Revenue Amount shall not include revenue resulting from inter-company transactions among the Surviving Corporation and any of its controlled affiliates other than such services.
Net Revenue Amount means, as of any applicable Settlement Date, (x) the amount of aggregate Collections received by the Loan Parties for the twelve month period ending as of the last day of the most recently ended Settlement Period with respect to amounts due and payable during such twelve month period minus (y) the aggregate Servicing Fee accrued during the twelve month period ending as of the last day of the most recently ended Settlement Period minus (z) the aggregate Corporate Allocation Amount to be paid on such Settlement Date plus the aggregate Corporate Allocation Amounts paid on the previous three (3) Settlement Dates.

  • Net Revenue means an entity’s total revenue less its operating expenses, interest paid, depreciation, and taxes. “Net Revenue” is synonymous with “Profit.”

  • Net Sales Proceeds means, in the case of a transaction described in clause (i)(A) of the definition of Sale, the proceeds of any such transaction less the amount of selling expenses incurred by or on behalf of the Company, including all real estate commissions, closing costs and legal fees and expenses. In the case of a transaction described in clause (i)(B) of the definition of Sale, Net Sales Proceeds means the proceeds of any such transaction less the amount of selling expenses incurred by or on behalf of the Company, including any legal fees and expenses and other selling expenses incurred in connection with such transaction. In the case of a transaction or series of transactions described in clause (i)(D) of the definition of Sale, Net Sales Proceeds means the proceeds of any such transaction (including the aggregate of all payments under a Mortgage on or in satisfaction thereof other than regularly scheduled interest payments) less the amount of selling expenses incurred by or on behalf of the Company, including all commissions, closing costs and legal fees and expenses. In the case of a transaction described in clause (i)(E) of the definition of Sale, Net Sales Proceeds means the proceeds of any such transaction less the amount of selling expenses incurred by or on behalf of the Company, including any legal fees and expenses and other selling expenses incurred in connection with such transaction. In the case of a transaction described in clause (ii) of the definition of Sale, Net Sales Proceeds means the proceeds of such transaction or series of transactions less all amounts generated thereby which are reinvested in one (1) or more Assets within one hundred eighty (180) days thereafter and less the amount of any real estate commissions, closing costs, and legal fees and expenses and other selling expenses incurred by or allocated to the Company or the Operating Partnership in connection with such transaction or series of transactions. Net Sales Proceeds shall also include Refinancing Proceeds and any other amounts that the Company determines, in its discretion, to be economically equivalent to proceeds of a Sale. Net Sales Proceeds shall not include any reserves established by the Company, which shall be determined by the Board in its sole discretion.

  • Earnout Amount has the meaning provided in Section 2.9(b).

  • Net Adjustment Amount means an amount, which may be positive or negative, equal to the Closing Net Working Capital as finally determined pursuant to this Section 2.9 minus the Preliminary Net Working Capital as set forth on the Preliminary Closing Statement;

  • Excess Cash Flow Payment Period means, with respect to the repayment required on each Excess Cash Flow Payment Date, the immediately preceding fiscal year of the Borrower.

  • Adjusted EBITDA Margin means Adjusted EBITDA divided by operating revenue;

  • Annualized EBITDA means, for the four consecutive quarters ending on each Reporting Date, the Operating Partnership’s Pro Rata Share (as defined below) of earnings before interest, taxes, depreciation and amortization (“EBITDA”), with other adjustments as are necessary to exclude the effect of all realized or unrealized gains and losses related to hedging obligations, items classified as extraordinary items and impairment charges in accordance with generally accepted accounting principles, adjusted to reflect the assumption that (i) any EBITDA related to any assets acquired or placed in service since the first day of such four-quarter period had been earned, on an annualized basis, from the beginning of such period, and (ii) any assets disposed of during such four-quarter period had been disposed of as of the first day of such period and no EBITDA related to such assets had been earned during such period.

  • Daily Maximum Cash Amount means, with respect to the conversion of any Note, the quotient obtained by dividing (A) the Specified Dollar Amount applicable to such conversion by (B) forty (40).

  • Net Sales Revenue shall have the meaning as set out in Schedule "A"

  • Gross Profits means the gross profits calculated under section 4;

  • LTM Fee Revenue has the meaning set forth in Section 7.2.2(c).

  • Operating Revenue Cash Flows means the Company’s cash flow from ownership and/or operation of (i) Properties, (ii) Loans, (iii) Permitted Investments, (iv) short-term investments, and (v) interests in Properties, Loans and Permitted Investments owned by any Joint Venture or any partnership in which the Company or the Partnership is, directly or indirectly, a co-venturer or partner.

  • Minimum Disbursement Amount means Twenty-Five Thousand and No/100 Dollars ($25,000).

  • Total Revenue bears the same meaning assigned to this expression in the Codes of Good Practice on Black Economic Empowerment, issued in terms of section 9(1) of the Broad-Based Black Economic Empowerment Act and promulgated in the Government Gazette on 9 February 2007;
