Netherlands Shares definition

Netherlands Shares means all of the issued and outstanding shares in the share capital of Mallinckrodt Netherlands.
Netherlands Shares shall have the meaning given that term in Section 5.15(a).
Netherlands Shares means the entire issued share capital of each of the Netherlands Companies;

  • All of the Netherlands Shares are held of record and beneficially owned by Mallinckrodt UK, free and clear of all Encumbrances, and are validly issued, fully paid and non-assessable.

  • Purchaser acknowledges that the Brink Netherlands Shares and the AAS Shares are not registered under the securities laws of any jurisdiction and that it is acquiring such shares for its own account, and not with a view to the distribution thereof.

  • No dividends have been declared on the Barclays (Netherlands) Shares since the date of its incorporation.

  • Overseas Shareholders holders of Scheme Shares who are resident in, ordinarily resident in, or citizens of, jurisdictions outside the United Kingdom;

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Newco Shares means the common shares in the capital of Newco;

  • Consideration Shares has the meaning ascribed thereto in Section 2.2.

  • New Ordinary Shares means the new Ordinary Shares arising on Conversion of the C Shares;

  • Full Entitlement Share(s) shall have the respective meanings set forth in Section 2.12.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Equity Equivalents means with respect to any Person any rights, warrants, options, convertible securities, exchangeable securities, indebtedness or other rights, in each case exercisable for or convertible or exchangeable into, directly or indirectly, Equity Interests of such Person or securities exercisable for or convertible or exchangeable into Equity Interests of such Person, whether at the time of issuance or upon the passage of time or the occurrence of some future event.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Approved Securities means securities of any State Government or of the Central Government and such bonds, both the principal whereof and the interest whereon shall have been fully and unconditionally guaranteed by any such Government;
