Network Launch definition

Network Launch means a bona fide transaction or series of transactions, pursuant to which the Company will sell the Tokens to the general public in a publicized product launch.
Network Launch is the date on which the Opu Platform has been publicly released by the Company and, in the Company’s sole and absolute discretion, has been sufficiently widely adopted by third- parties supporting the Opu Platform.
Network Launch means the date on which a bona fide transaction or series of transactions, pursuant to which the Company will sell the Tokens to the general public in a publicized product launch.

Examples of Network Launch in a sentence

  • If there is a Network Launch before the expiration or termination of this instrument, the Company will automatically issue to the Purchaser a number of units of the Token equal to the Purchase Amount divided by the Discount Price.

  • In connection with, as a condition to, and prior to the delivery of Tokens by the Company to the Purchaser pursuant to this Section 1(a), the Purchaser will (i) execute and deliver to the Company any and all other transaction documents related to this TPA as are reasonably requested by the Company, including verification of accredited investor status; and (ii) provide to the Company a network address to which Purchaser’s Tokens will be sent after the Network Launch.

  • Notwithstanding any provision in this instrument to the contrary, in the event the Purchaser is not eligible to receive the Tokens under applicable law existing at the time such Tokens are ready to be distributed to the Purchaser after the Network Launch, the Company will, in lieu of sending the Tokens to the Purchaser, promptly pay to the Purchaser (as a general unsecured creditor) an amount equal to the Purchase Amount.

  • If there is a Network Launch before the expiration or termination of this instrument, the Company will deliver to the Purchaser, according to the procedures specified separately by the Company, a number of Tokens equal to the entire Purchase Amount divided by the Token Price.

More Definitions of Network Launch

Network Launch means the first date on which the Tokens issued during the Initial Token Generation Event can be used to engage in transactions on the Network as more fully described in the SAFT Term Sheet.
Network Launch means (i) a bona fide issuance of Tokens to the general public in a publicized product launch and (ii) the existence of a functioning and secure Network; provided that the satisfaction of prong (i) and (ii) shall be determined by the Company in its sole discretion. For purposes of clarity, (A) any “air drop” or other issuance of Tokens solely without monetary consideration shall not necessarily constitute a Network Launch or the satisfaction of any prong and (B) an issuance of Tokens by the Company solely in exchange for services or products shall not necessarily constitute a Network Launch or the satisfaction of any prong.
Network Launch or “TGE” means the event whereby a decentralized network of validators on the Cere Network adopt a genesis block (which may or may not be the first block in the blockchain) for the bona fide public release of the Cere Protocol, upon which tokens can be transferred directly between users in a peer-to-peer manner, as determined by the Company in its sole discretion.
Network Launch means the release of software that allows buyers and sellers to exchange storage, using the technologies and market incentives described above in Company Overview. Financial and operating risks confronting startups are significant: Protocol Labs is not immune to these. The startup market in which Protocol Labs competes is highly competitive and the percentage of companies that survive and prosper is small. Startups often experience unexpected problems in the areas of product development, marketing, financing, and general management, among others, which frequently cannot be solved. In addition, startups may require substantial amounts of financing, which may not be available through institutional private placements, the public markets or otherwise.
Network Launch means (i) a bona fide transaction or series of transactions, pursuant to which the Company will sell the Tokens to the general public in a publicised product launch; and/or (ii) a distribution of Tokens to 10 or more natural and/or non-natural persons.
Network Launch or “TGE” means the public, broad commercial launch of the Pledge Network on which users may borrow, lend and otherwise use the Pledge Network in accordance with the White Paper, as determined by the Company in its sole discretion.
Network Launch means the bona fide public launch of a fully functioning network running a client that conforms to the Token protocol as ratified by Hedera (the “Hashgraph Network”) , which occurred on August 24, 2018.
