In the event that Duke or Philxxxx xxxsonably withholds such consent pursuant to the preceding clause (vi)(A) or (B), the parties shall negotiate in good faith to resolve their differences and, failing that, the Neutral Firm shall resolve such disagreement.
The party whose calculation is not selected by the Neutral Firm as the Final Calculation shall bear all costs of the Neutral Firm.
