Nevada Holdco Dissent Rights definition

Nevada Holdco Dissent Rights means the rights of dissent exercisable by the Nevada Holdco Shareholders in respect of the Continuance granted as contractual rights in the Nevada Holdco Agreement and Plan of Conversion in a manner consistent with Sections 92A.300 through 92A.500 of the NRS and the Business Combination pursuant to Section 238 of the BCBCA, Article 4 of the Plan of Arrangement and the Interim Order;
Nevada Holdco Dissent Rights means the rights of dissent exercisable by the Nevada Holdco Shareholders in respect of the Business Combination pursuant to Section 238 of the BCBCA, as modified by Article 4 of this Plan of Arrangement and the Interim Order and any contractual rights to dissent;
Nevada Holdco Dissent Rights means the rights of dissent exercisable by the Nevada Holdco Shareholders in respect of the Continuance in the Nevada Holdco Agreement and Plan of Conversion in a manner consistent with Sections 92A.300 through 92A.500 of the NRS and the Business Combination pursuant to Section 238 of the BCBCA, as modified by Article 4 of the Plan of Arrangement and the Interim Order.

Related to Nevada Holdco Dissent Rights

  • Dissent Rights means the rights of dissent in respect of the Arrangement described in the Plan of Arrangement;

  • Dissent Shares means Company Shares held by a Dissenting Shareholder and in respect of which the Dissenting Shareholder has validly exercised Dissent Rights;

  • CGCL means the California General Corporation Law.

  • Dissenter means a shareholder who, being entitled to do so, sends written notice of dissent when and as required by section 242;

  • TBCA means the Texas Business Corporation Act.

  • Dissenting Shareholders has the meaning set forth in Section 3.3.

  • MBCA means the Michigan Business Corporation Act.

  • Dissenters’ Shares has the meaning set forth in Section 4.07.

  • Dissenting Shares has the meaning set forth in Section 3.3.

  • Dissenting Stockholders shall have the meaning set forth in Section 3.3.

  • Dissenting Share has the meaning set forth in Section 2.6 below.

  • Dissenting Shareholder means a registered Company Shareholder who has duly and validly exercised its Dissent Rights in accordance with the YBCA and the terms of the Interim Order and has not withdrawn or been deemed to have withdrawn such exercise of Dissent Rights, but only in respect of the Company Shares in respect of which Dissent Rights are validly exercised by such registered Company Shareholder in accordance with the YBCA and the terms of the Interim Order;

  • FBCA means the Florida Business Corporation Act.

  • NYBCL means the New York Business Corporation Law.

  • PBCL means the Pennsylvania Business Corporation Law of 1988, as amended.

  • Dissenting Stockholder has the meaning set forth in Section 2.7.

  • Delaware LP Act means the Delaware Revised Uniform Limited Partnership Act.

  • OBCA means the Business Corporations Act (Ontario);

  • CBCA means the Canada Business Corporations Act.

  • DGCL means the General Corporation Law of the State of Delaware.

  • Delaware Law means the General Corporation Law of the State of Delaware.

  • GBCC means the Georgia Business Corporation Code.

  • Step-In Rights means the right of one party to assume an intervening position to satisfy all terms of an agreement in the event the other party fails to perform its obligations under the agreement.

  • Reorganization Transactions shall have the meaning set forth in the recitals.

  • Company Stockholder Approval has the meaning set forth in Section 4.2(b).
