New Common Unit Issuance definition

New Common Unit Issuance means the issuance of Common Units as part of the Merger Consideration pursuant to this Agreement. “New Common Units” shall have the meaning set forth in Section 3.1(c).

  • The VNR Conflicts Committee has determined that this Agreement and the transactions contemplated hereby, including the Merger and the New Common Unit Issuance (collectively, the “VNR Merger Transactions”) are fair and reasonable to, and in the best interests of, VNR and the VNR Unaffiliated Unitholders, and such action by the VNR Conflicts Committee constituted “Special Approval” (as defined in the VNR LLC Agreement) of this Agreement and the VNR Merger Transactions.
