Advisory Board Member means a member of an “Advisory Board” as defined in Section 2(a)(1) of the 1940 Act.
Board Member means a member of the Board.
Board Members means the Directors or Trustees of the governing body of the Fund, as the case may be.
Independent Board Member means a trustee of the Fund who is neither an “interested person” of the Fund as defined in Section 2(a)(19) of the Investment Company Act of 1940, as amended, nor a party to the Proceeding with respect to which indemnification or advances are sought.
School board means the governing board of directors of the local school district.
shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by him in a professional capacity; and
New Director means an individual whose election by the Board or nomination for election by the Company’s stockholders was approved by a vote of at least two-thirds of the directors then still in office who either were directors at the Date of Grant or whose election or nomination for election was previously so approved or recommended. However, “New Director” shall not include a director whose initial assumption of office is in connection with an actual or threatened election contest, including but not limited to a consent solicitation relating to the election of directors of the Company.
Athletic director means an individual responsible for administering the overall athletic program of an educational institution or, if an educational institution has separately administered athletic programs for male students and female students, the athletic program for males or the athletic program for females, as appropriate.
Supervisory Board means the individual or group of individuals that
Executive Board means a group of directors elected or appointed to act on behalf of, and within the powers granted to them by, the commission.
Management Director means a Person selected in accordance with Article IV of this Agreement who shall have the powers and duties to manage the business and affairs of the Company and exercise its powers to the extent set forth in this Agreement, the Certificate and the Act. Each Management Director shall be a “manager” of the Company within the meaning of the Act.
Advisory Board means the Long-Term Care Facility Advisory Board;
MUSL Board means the governing body of the MUSL, which is comprised of the chief executive officer of each Party Lottery.
Public Director means a Person that meets the qualifications described in Rule 207(e).
Associate Director means the associate director of the
Program Director means an individual who has complete responsibility for the day to day function of the program. The Program Director is the highest level of decision making at a local, program level.
New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.
Deputy Director means the Deputy Director of the Authority, as the case may be.
Member board means a state agency in a member state that acts in the sovereign interests of the state by protecting the public through licensure, regulation, and education of physicians as directed by the state government.
Lead Member shall, in the case of a joint venture, mean the member of such joint venture who shall have the authority to bind the contractor and each member of the Joint venture; and shall be deemed to be the Contractor for the purposes of this Agreement; the Lead Member shall itself undertake and perform at least 51% (fifty one per cent) of the total length of the Project Highway;
Executive Mayor means the councillor elected as the executive mayor of the municipality in terms of section 55 of the Municipal Structures Act;
Director Emeritus means a person serving as a director emeritus, advisory director, consulting director, or other similar position as may be appointed by the Board of Directors of the Savings Bank or the Company from time to time.
Company Director means a member of the Board.
Full Board means the authorized number of voting members of the Board of Education.
Board Chair means the chair of the Board;
