NewCo Warrants definition

NewCo Warrants means the SPAC Warrants as of and following the Effective Time, which having been assume by NewCo shall be exercisable, in accordance with the terms of the Warrant Agreement, for NewCo Common Shares.

NewCo Warrants means warrants to purchase Newco Shares which are to be issued in exchange for Bonanza Warrants and Taurus Warrants in accordance with §2.2(e) and §2.2(f) of this Plan of Arrangement;

NewCo Warrants means share purchase warrants to acquire Newco Shares;

Examples of NewCo Warrants in a sentence

• Section 4 of the Subscription Agreement shall apply to this Agreement with respect to the Additional Securities, and the shares underlying the FEAC PIPE Warrants or the Newco Warrants, as the case may be, mutatis mutandis.

• For the avoidance of doubt, the Additional Securities, and the shares underlying the FEAC PIPE Warrants or the Newco Warrants, as the case may be, shall be deemed to be “Registrable Securities” as such term is defined in, and for all purposes under, the Subscription Agreement.

• The remaining terms of the Newco Warrants, including term to expiry, conditions to and manner of exercising and vesting schedule, if any will otherwise be unchanged from those contained in the Warrants.Following the Effective Date, the certificates, agreements or other instruments representing the Warrants will be deemed to represent the right to receive a certificate representing the number of Newco Warrants to which a holder of the Warrants may be entitled to in accordance with the Plan of Arrangement.

• After the Effective Date, and subject to §4.4, the Taurus Shareholders (other than Dissenting Taurus Shareholders) and the holders of Taurus Options and Taurus Warrants will be entitled to receive a certificate or certificates or other documentation representing their Newco Shares, Newco Options and Newco Warrants as the case may be.
