Newmont Notional Capital Account definition

Newmont Notional Capital Account means a notional capital account for Newmont Member calculated as the sum of: (A) $[***], (B) all Member Contributions in respect of growth capital expenditures made by the Newmont Member, (C) the Contribution Value of any Excluded Asset contributed by Newmont Member (on a 100% basis) less any amounts paid by Barrick Member to Newmont Member in respect of such Excluded Asset, (D) the amount paid by Newmont Member to Barrick Member in connection with a contribution by Barrick Member of an Excluded Asset, and (E) any Member Contributions made to cover a Funding Default by Barrick Member; LESS all Nevada JV Distributions to Newmont Member, or any portion thereof, that were funded from proceeds of the disposition of any Nevada JV Assets.
Newmont Notional Capital Account means an amount for Newmont Member calculated, as of any date, as the sum of the following, without duplication: (A) $[***]; (B) an amount equal to the Newmont Member’s Development Capital Expenditure Share; (C) the Contribution Value of any Excluded Development/Exploration Property contributed to Nevada JV by Newmont Member (on a 100% basis) prior to that date less any amounts paid by Barrick Member to Newmont Member in respect of such Excluded Development/Exploration Property; (D) the amount paid by Newmont Member to Barrick Member in connection with a contribution to Nevada JV by Barrick Member of an Excluded Development/Exploration Property prior to that date; and (E) any Member Contributions (excluding for clarity Default Loans) made prior to that date to cover a Funding Default by Barrick Member; LESS all Nevada JV Distributions to Newmont Member prior to that date made pursuant to Section 8.1(c).

  • If a Funding Default occurs, if and to the extent required by the definitions of Barrick Notional Capital Account and Newmont Notional Capital Account, the Proportionate Interest of each Member will be recalculated to reflect the Funding Default and, if applicable, any election by the Non-Defaulting Member to cover the Funding Default by making an additional Member Contribution in accordance with Section 9.5(b) and the Schedule of Members shall be updated.

  • Target Capital Account means the Capital Account of a Member as of the end of each fiscal year, increased by any amount that such Member is obligated to restore under this Agreement, is treated as obligated to restore under Treasury Regulations Section 1.704-1(b)(2)(ii)(c), or is deemed obligated to restore under the penultimate sentences of Treasury Regulations Section 1.704-2(g)(1) and (i)(5).

  • Book Capital Account means, for any Holder at any time, the Book Capital Account of the Holder for such day, determined in accordance with Section 8.1 hereof.

  • Capital Account means, with respect to any Member, the Capital Account maintained for such Member in accordance with the following provisions:

The foregoing definition of Adjusted Capital Account Balance is intended to comply with the provisions of Treasury Regulations Section 1.704-1(b)(2)(ii)(d) and shall be interpreted consistently therewith.

  • Adjusted Capital Account means the Capital Account maintained for each Partner as of the end of each Fiscal Year (i) increased by any amounts which such Partner is obligated to restore pursuant to any provision of this Agreement or is deemed to be obligated to restore pursuant to the penultimate sentences of Regulations Sections 1.704-2(g)(1) and 1.704-2(i)(5) and (ii) decreased by the items described in Regulations Sections 1.704-1(b)(2)(ii)(d)(4), 1.704-1(b)(2)(ii)(d)(5) and 1.704-1(b)(2)(ii)(d)(6). The foregoing definition of Adjusted Capital Account is intended to comply with the provisions of Regulations Section 1.704-1(b)(2)(ii)(d) and shall be interpreted consistently therewith.

  • Economic Capital Account Balance has the meaning provided in Section 5.1(e) hereof.

  • Capital Accounts An individual capital account shall be maintained for each Partner, and capital contributions to the Partnership by the Partners shall be credited to such accounts. Partnership profits or losses shall also be charged or credited to the separate capital accounts in the manner provided in this Agreement. No interest shall be paid on the capital account of any Partner.
