Next Equity Financing Price definition

Next Equity Financing Price means the lowest price per share for which Next Equity Financing Securities are sold or issued by the Company in the Next Equity Financing.
Next Equity Financing Price means (x) if the pre-money valuation of the Company immediately prior to the Next Equity Financing is less than or equal to the Valuation Cap, the lowest price per share of the Equity Securities sold in the Next Equity Financing or (y) if the pre- money valuation of the Company immediately prior to the Next Equity Financing is greater than the Valuation Cap, the SAFE Price.
Next Equity Financing Price means the lowest price at which the Company issues Additional Shares in connection with an equity financing for capital raising purposes after the date hereof and ending on the date on which the Company has raised aggregate gross offering proceeds of at least $15,000,000 (not including the surrender of indebtedness as part of the offering proceeds) from the sale of Additional Shares, subject to adjustment for any issuance or deemed issuance of Additional Shares in accordance with Section 4.12. In the event of an issuance or deemed issuance of Additional Shares without consideration, then the Company shall be deemed to have received an aggregate of one-tenth of a cent ($.001) of consideration for all such shares issued or deemed to be issued. For purposes of determining the Next Equity Financing Price, the consideration received by the Company for the issuance or deemed issuance of any Additional Shares shall be computed as follows:

  • If, upon the closing of the Next Equity Financing, the Next Equity Financing Price shall be less than the Warrant Price in effect as of immediately prior thereto, then the “Warrant Price” shall be the Next Equity Financing Price from and after such closing, subject to adjustment thereafter from time to time in accordance with the provisions of this Warrant.

  • If there is a Next Equity Financing before the expiration or termination of this instrument, the Company will automatically issue to the Investor a number of Conversion Shares equal to the Purchase Amount divided by the Next Equity Financing Price.

Next Equity Financing Price means the lowest price per share in U.S. dollars for which Next Equity Financing Securities are sold or issued by the Company in the Next Equity Financing, provided that, if the Next Equity Financing includes the sale or issuance of CDIs in Australian dollars then the Next Equity Financing Price will be lowest price per CDI in Australian dollars sold or issued in the Next Equity Financing, multiplied by three and converted to U.S. dollars at the prevailing Australian dollar to U.S. dollar exchange rate as published by the Reserve Bank of Australia on the business day immediately prior to the closing of the Next Equity Financing. For the avoidance of doubt, (i) the warrant price per share shall be the applicable price per share used to calculate the number of warrants shares in the foregoing provision; and (ii) for purposes of determining the “Next Equity Financing” under the foregoing provision, both private placements and rights offerings in a series of related transactions shall be included.
Next Equity Financing Price means the lowest price per share for which any Equity Securities are sold or issued by the Company in the Next Equity Financing.
Next Equity Financing Price means the lowest price per share for which Next Equity Financing Securities are sold or issued by the Company in the Next Equity Financing.   • First Equity Financing Price means (x) if the pre-money valuation of the Company immediately prior to the First Equity Financing is less than or equal to the Valuation Cap, the lowest price per share of the Equity Securities sold in the First Equity Financing or (y) if the pre-money valuation of the Company immediately prior to the First Equity Financing is greater than the Valuation Cap, the SAFE Price.

  • Next Equity Financing means the next sale (or series of related sales) by the Company of its Preferred Stock following the Date of Issuance from which the Company receives gross proceeds of not less than $1,000,000 (excluding the aggregate amount of securities converted into Preferred Stock in connection with such sale (or series of related sales)).

  • Common Stock Price means, with respect to the Company and each of the Peer Companies, as of a particular date, the average of the Fair Market Value over the 15 consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price of a share of common stock as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.

  • Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.

If the Preferred Shares are not publicly traded, the Current Per Share Market Price of the Preferred Shares shall be conclusively deemed to be (x) the Current Per Share Market Price of the Common Shares as determined pursuant to this Section 1(j), as appropriately adjusted to reflect any stock split, stock dividend or similar transaction occurring after the date hereof, multiplied by (y) 1,000. If the Security is not publicly held or so listed or traded, Current Per Share Market Price shall mean the fair value per share as determined in good faith by the Board of Directors of the Company, whose determination shall be described in a statement filed with the Rights Agent and shall be conclusive for all purposes.

  • Issuance Amount means the aggregate Sales Price of the Shares to be sold by the Agent pursuant to any Issuance Notice.
