NGCB definition

NGCB means the Nevada State Gaming Control Board.
NGCB or “New Global Covered Bond” means a Temporary Global Covered Bond in the form set out in the First Schedule to the Agency Agreement or a Permanent Global Covered Bond in the form set out in the Second Schedule to the Agency Agreement, in either case where the applicable Final Terms specify the Covered Bonds as being in New Global Covered Bond form;

  • References to DTC, Euroclear and/or Clearstream, Luxembourg shall, whenever the context so permits (but not in the case of any NGCB), be deemed to include a reference to any additional or alternative clearing system specified in the applicable Final Terms.

  • Payments of principal, interest (if any) or any other amounts on a Permanent Global Covered Bond will be made through Euroclear and/or Clearstream, Luxembourg (against presentation or surrender (as the case maybe) of the Permanent Global Covered Bond if the Permanent Global Covered Bond is not intended to be issued in NGCB form) without any requirement for certification.

  • Payments of principal, interest (if any) or any other amounts on a Permanent Global Covered Bond will be made through Euroclear and/or Clearstream, Luxembourg (against presentation or surrender (as the case may be) of the Permanent Global Covered Bond if the Permanent Global Covered Bond is not intended to be issued in NGCB form) without any requirement for certification.

  • All Bearer Global Covered Bonds shall be prepared, completed and delivered to a common depositary (in the case of a CGCB) or a Common Safekeeper (in the case of a NGCB) for Euroclear and Clearstream, Luxembourg in accordance with the provisions of the Dealership Agreement or to another appropriate depositary in accordance with any other agreement between the Issuer and the relevant Dealer(s) and, in each case, the Agency Agreement.

  • Each Temporary Global Covered Bond shall have annexed thereto a copy of the applicable Final Terms and shall be signed manually or in facsimile by a person duly authorized by the Issuer on behalf of the Issuer and shall be authenticated by or on behalf of the Issuing and Paying Agent and shall, in the case of NGCB, be effectuated by the Common Safekeeper acting on instructions of the Issuing and Paying Agent.

  • THIS CONDITION MAY BE ADMINISTRATIVELY EXTENDED BY THE NGCB CHAIR OR THE CHAIR’S DESIGNEE.

  • Each Permanent Global Covered Bond shall have annexed thereto a copy of the applicable Final Terms and shall be signed manually or in facsimile by a person duly authorized by the Issuer on behalf of the Issuer and shall be authenticated by or on behalf of the Issuing and Paying Agent and shall, in the case of NGCB, be effectuated by the Common Safekeeper acting on instructions of the Issuing and Paying Agent.

  • Payment of principal or interest (if any) on a Permanent Bearer Global Covered Bond will be made through Euroclear or Clearstream, Luxembourg (against presentation or surrender, as the case may be, of the Permanent Bearer Global Covered Bond if the Permanent Bearer Global Covered Bond is not intended to be issued in NGCB form) without any further requirement for certification.

  • If the Bearer Covered Bonds are stated in the applicable Final Terms to be issued in NGCB form, Euroclear and Clearstream, Luxembourg will be notified by or on behalf of the Issuer as to whether or not the Covered Bonds are intended to be recognized as eligible collateral for European monetary policy of the central banking system for the euro (the “Eurosystem”), notwithstanding that such recognition will depend upon satisfaction of the Eurosystem eligibility criteria.

  • Clearing Systems will be notified whether or not any NGCB issuance is intended to be held in a manner which would allow Eurosystem eligibility.
