NGL Common Units definition

NGL Common Units means common units representing limited partner interests of NGL.
NGL Common Units shall have the meaning assigned to such term in the Contribution Agreement.
NGL Common Units means common units representing limited partner interests of NGL. “NGL Deductible” has the meaning set forth in Section 7.3(b)(ii).

  • Any payments made by NGL hereunder shall be increased to account for SemStream’s ownership in NGL by multiplying the payment due by a fraction the numerator of which shall be the total number of NGL Common Units outstanding and the denominator of which shall be the total number of NGL Common Units outstanding and not owned by SemStream or its Affiliates.

  • If the Estimated Net Working Capital exceeds the Net Working Capital Threshold by $25,000,000 or less (such excess amount, the “Initial Excess Amount”), then NGL shall issue an aggregate number of NGL Common Units to SemStream equal to (A) such Initial Excess Amount divided by (B) $20.00 (the “Additional NGL Units”).

  • NGL shall issue, convey, assign, transfer and deliver to SemStream, free and clear of any Encumbrances (other than restrictions under applicable securities Laws), (a) 7,500,000 NGL Common Units (as further described in the NGL LP Agreement) (the “Contribution NGL Units”), and (b) the Variable Units (the Contribution Units, the Variable Units and the Additional NGL Units (if any), collectively, the “NGL Units”).

  • The aggregate NGL Common Units issued pursuant to Section 2.1(a) shall be subject to equitable adjustment in the event of any unit split, unit dividend, reverse unit split or similar event affecting the NGL Common Units after the date hereof and prior to the Closing Date.

  • NGL shall use its commercially reasonable efforts to cause the NGL Common Units issuable under Article II to be approved for listing on the New York Stock Exchange (the “NYSE”), subject to official notice of issuance, on the Closing Date.

  • The Court further reiterates that the requirements of Article 13 are broader than a Contracting State’s obligation under Articles 3 and 5 to conduct an effective investigation into the disappearance of a person who has been shown to be under their control and for whose welfare they are accordingly responsible (see, mutatis mutandis, Orhan, cited above, § 384; Khashiyev and Akayeva v.

  • No certificates representing fractional NGL Common Units or book-entry credit of the same shall be issued upon the surrender for exchange of Certificates (or effective affidavits of loss in lieu thereof).

  • The authorized, issued and outstanding limited partnership interests and general partnership interests of NGL as of the date hereof consist of 24,046,253 NGL Common Units, 5,919,346 Subordinated Units (as defined in the NGL Underwriting Agreement) and a 0.1% general partner interest.

Related to NGL Common Units

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Common Units is defined in the Partnership Agreement.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.

  • Class A Common Units means a Common Unit which is designated as a “Class A Common Unit” and which has the rights, preferences and other privileges designated in Annex A hereto and elsewhere in this Agreement in respect of holders of Common Units.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • General Partner Units has the meaning assigned to such term in the Partnership Agreement.

  • Common Unit means a common unit representing a limited partner interest in the Partnership having the rights set forth in the Partnership Agreement.

  • Company Units has the meaning set forth in the Recitals.

  • Common Unitholder means a Member who is the registered holder of Common Units.

  • Class B Units means the Class B Units of the Company.

  • OP Units means units of limited partnership interest in the Operating Partnership.

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • New Common Shares means the common stock or common equity of Reorganized XOG to be issued on the Effective Date.

  • Class A Common Unit means a Common Unit having the rights and obligations specified with respect to Class A Common Units in this Agreement.

  • LLC Units has the meaning set forth in the LLC Agreement.

  • REIT Shares means shares of common stock, $0.01 par value per share, of the Company.

  • Class B Common Unit means one of that certain class of Common Units with those special rights and obligations specified in this Agreement as being appurtenant to a “Class B Common Unit”.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • General Partner Unit means a fractional part of the General Partner Interest having the rights and obligations specified with respect to the General Partner Interest. A General Partner Unit is not a Unit.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Class A Common Shares means class A common shares of a nominal or par value of US$0.00001 each in the capital of the Company having the rights provided for in the Memorandum and Articles of Association, and any shares into which such class A common shares may be converted.

  • Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.
