Ninth Mezzanine Loan definition

Ninth Mezzanine Loan means that certain loan in the original principal amount of Two Hundred Seventy Five Million and No/100 Dollars ($275,000,000) made by Ninth Mezzanine Lender to Ninth Mezzanine Borrower as of the Original Closing Date.
Ninth Mezzanine Loan means that certain loan made by the Ninth Mezzanine Lenders to Ninth Mezzanine Borrower as of the Original Closing Date. When made, the Ninth Mezzanine Loan was in the original principal amount of Two Hundred Seventy Five Million and no/100 Dollars ($275,000,000.00). As of the date hereof, the Ninth Mezzanine Loan is in the outstanding principal amount of Nine Million One Hundred Fifty Seven Thousand Five Hundred and No/100 Dollars ($9,157,500.00). The Ninth Mezzanine Loan is evidenced and/or secured by the Ninth Mezzanine Loan Agreement and the Ninth Mezzanine Loan Documents.
Ninth Mezzanine Loan has the meaning set forth in the Recitals hereto.

  • Any Tax and Insurance Escrow Funds remaining after the Debt has been paid in full shall be remitted (i) if the Ninth Mezzanine Loan is outstanding, then to the Ninth Mezzanine Lender or (ii) if the Ninth Mezzanine Loan is no longer outstanding then to Borrower or, at Borrower’s election, shall be credited against the Debt simultaneously with the satisfaction of the balance of the Loan.

  • Any Ground Rent Reserve Funds remaining after the Debt has been paid in full shall be remitted (i) if the Ninth Mezzanine Loan is outstanding, then to the Ninth Mezzanine Lender or (ii) if the Ninth Mezzanine Loan is no longer outstanding then to Borrower or, at Borrower’s election, shall be credited against the Debt simultaneously with the satisfaction of the balance of the Loan.

  • So long as no Event of Default shall have occurred and be continuing under the Ninth Mezzanine Loan Documents, all funds held and applied pursuant to the Ninth Mezzanine Loan Documents (including in any deposit or collection or cash management account) shall continue to be applied in the manner required thereunder prior to the occurrence of an Event of Default under the Ninth Mezzanine Loan Documents.

Related to Ninth Mezzanine Loan

  • Mezzanine Loan means a mezzanine loan secured by equity interests in the Mortgage Loan Borrower.

  • Mezzanine Loans means, individually or collectively, as the context may require, the First Mezzanine Loan and the Second Mezzanine Loan, and each of the First Mezzanine Loan and/or the Second Mezzanine Loan, individually, a “Mezzanine Loan”.

  • Mezzanine Loan Agreement means that certain Mezzanine Loan Agreement, dated as of the date hereof, between Mezzanine Borrower and Mezzanine Lender, as the same may be amended, restated, replaced, supplemented or otherwise modified from time to time.

  • Accelerated Mezzanine Loan means any mezzanine loan (secured by a pledge of the direct (or indirect) equity interests in the Mortgagor) related to the Mortgage Loan if such mezzanine loan either (i) has been accelerated, or (ii) is the subject of foreclosure proceedings against the related collateral for such mezzanine loan.

  • Mezzanine Loan Documents means, as to each Mezzanine Loan, all documents evidencing, securing, guaranteeing and/or perfecting such Mezzanine Loan and all documents executed and/or delivered in connection therewith.

  • Mezzanine Lender shall have the meaning set forth in the first paragraph of this Agreement.

  • Accelerated Mezzanine Loan Lender shall have the meaning assigned to such term or an analogous term in the Lead Securitization Servicing Agreement.

  • Mezzanine Investments means debt Securities (including convertible debt Securities (other than the “in-the-money” equity component thereof)) and Preferred Stock in each case (a) issued by public or private issuers, (b) issued without registration under the Securities Act, (c) not issued pursuant to Rule 144A under the Securities Act (or any successor provision thereunder), (d) that are not Cash Equivalents and (e) contractually subordinated in right of payment to other debt of the same issuer.

  • Mezzanine Borrower shall have the meaning set forth in Section 11.6 hereof.

  • Existing Loan means the loan identified on Exhibit H.

  • SOFR Loan means a Loan that bears interest at a rate based on Adjusted Term SOFR, other than pursuant to clause (c) of the definition of “Base Rate”.

  • Senior Loan has the meaning provided in the Recitals hereto.

  • Refinancing Mortgage Loan Any Mortgage Loan originated in connection with the refinancing of an existing mortgage loan.

  • Junior Loan has the meaning provided in the Recitals hereto.

  • PPP Loan means the loan in principal amount of $673,184 issued to the Company by the PPP Lender pursuant to the promissory note dated April 20, 2020.

  • RFR Loan means a Loan that bears interest at a rate based on the Adjusted Daily Simple SOFR.

  • Refinancing Loan has the meaning specified in Section 2.15(b).

  • Sub-loan means a loan made or proposed to be made by the Borrower out of the proceeds of the Loan to a Private Enterprise for an Investment Project;

  • Mortgage lender means a “lender” as defined in the Act and which has been approved by the Authority pursuant to the Rules and Regulations.

  • First Mortgage Loan A Home Equity Loan which constitutes a first priority mortgage lien with respect to any Property.

  • Second Mortgage Loan A Home Equity Loan which constitutes a second priority mortgage lien with respect to the related Property.

  • Mezzanine Floor means an intermediate floor between two floors, above ground level, accessible only from the lower floor;

  • Acquisition Loan means a loan or other extension of credit, including an installment obligation to a “party in interest” (as defined in Section 3(14) of ERISA) incurred by the Trustee in connection with the purchase of Company Stock.
