The information and statements contained in this Agreement are true and correct and together with the Nomad Public Disclosure Record and the Nomad Disclosure Letter, constitute full, true and plain disclosure of all material facts relating to the Company and its subsidiaries on a consolidated basis, and contain no misrepresentations.
