Nominated Director definition

Nominated Director means any or all of the Series B Nominated Director, the Series C Nominated Director, and the Series D Nominated Director.

Nominated Director means a Director nominated by Red under clause 5.4(b); Red Parent means The Coca-Cola Company; Red Transferee has the meaning given in clause 11.1(a);

• Without limiting the foregoing in this Section 2.1(e), each TPG Nominated Director who is elected to the Company Board shall be entitled to receive from the Company and its subsidiaries, if applicable, the same insurance coverage in connection with his or her service as a member of the Company Board and any Committee as is provided for each of the other members of the Company Board or Committee, as applicable.

• The Committee, its members and any person designated pursuant to Section 3.3(a) shall not be liable for any action or determination made in good faith with respect to this Plan.
