Non-Competition and Non-Solicitation Agreement definition

Non-Competition and Non-Solicitation Agreement means that certain Non-Competition and Non-Solicitation Agreement in substantially the form attached hereto as Exhibit E.

Non-Competition and Non-Solicitation Agreement means the non-competition and non-solicitation agreement dated October 7, 2020 between the REIT and Empower, as more particularly described under “Arrangements with Empower — Non-Competition and Non-Solicitation Agreement”.

• Notwithstanding the above, Executive shall receive such amounts only if Executive is not in material breach of any of the provisions of the Confidentiality, Inventions, Non-Competition and Non-Solicitation Agreement.

• As a condition of employment, you have signed and must continue to comply with the Company’s standard form of Employee Proprietary Information, Inventions Assignment, Non-Competition and Non-Solicitation Agreement (the “Proprietary Information Agreement”, a copy of which is attached hereto as Exhibit A) which prohibits unauthorized use or disclosure of the Company’s proprietary information, among other obligations.

• Except for disputes arising out of an alleged violation of the covenants set forth in the Confidentiality, Inventions, Non-Competition and Non-Solicitation Agreement, any controversy or claim arising out of or relating to any provision of this Employment Agreement or any other document or agreement referred to herein shall be resolved by arbitration.

• As a condition of continued employment, Executive agrees to execute and abide by an Employee Proprietary Information, Inventions, Non-Competition and Non-Solicitation Agreement attached as Exhibit A (“Proprietary Information Agreement”), which may be amended by the parties from time to time without regard to this Agreement.

More Definitions of Non-Competition and Non-Solicitation Agreement

Non-Competition and Non-Solicitation Agreement has the meaning set forth in Section 3.2(f).

Non-Competition and Non-Solicitation Agreement means the non-competition and non-solicitation agreement among CT REIT, the Partnership and CTC entered into on October 23, 2013, as further described under section 9.4 entitled “Commercial Agreements with CTC – Non-Competition and Non-Solicitation Agreement” of this AIF.
