Noncontrolling Party definition

Noncontrolling Party has the meaning set forth in Section 9.4(c).

More Definitions of Noncontrolling Party

Noncontrolling Party shall have the meaning specified in Section 19.2(e) of the Lease.

Furthermore, any rights of Buyer with respect to any consolidated, combined, unitary or group Taxes or Tax Returns of Seller or any of its Subsidiaries shall apply only to the extent that Buyer might be adversely affected, it being understood that any claim or issue that would increase Tax for which Seller is responsible and liable hereunder and decrease Tax for which Buyer is responsible and liable hereunder would not adversely affect Buyer.

Noncontrolling Party means the Buyer if the Sellers' Representatives are the Controlling Party, and the Sellers' Representatives if the Buyer is the Controlling Party.
