Norrxx Xxxily definition

Norrxx Xxxily means all persons who are lineal descendants of D.W. Xxxxxx (xx birth or adoption), all spouses of such descendants, all estates of such descendants or spouses which are in the course of administration, all trusts for the benefit of such descendants or spouses, and all corporations or other entities in which, directly or indirectly, such descendants or spouses (either alone or in conjunction with other such descendants or spouses) have the right, whether by ownership of stock or other equity interests or otherwise, to direct the management and policies of such corporations or other entities (each such person, spouse, estate, trust, corporation or entity being referred to herein as a "member" of the Norrxx Xxxily). In addition, so long as any employee stock ownership plan exercises its Voting Rights in the same manner as members of the Norrxx Xxxily (exclusive of employee stock ownership plans) who have a majority of the Voting Rights exercised by all such members of the Norrxx Xxxily, such employee stock ownership plan shall be deemed a member of the Norrxx Xxxily.

Norrxx Xxxily shall have the meaning assigned it in Section 2.10(c).
