Note Agreement Obligations means the collective reference to the unpaid principal of, interest on and premium, if any, on the Notes and all other obligations and liabilities of the Company to the Noteholder (including, without limitation, interest accruing at the then applicable rate provided in the Note Agreements after the maturity of the Notes and interest accruing at the then applicable rate provided in the Note Agreements after the filing of any petition in bankruptcy, or the commencement of any insolvency, reorganization or like proceeding, relating to the Company, whether or not a claim for post-filing or post-petition interest is allowed in such proceeding), whether direct or indirect, absolute or contingent, due or to become due, or now existing or hereafter incurred, which may arise under, out of, or in connection with, the Note Agreements, any Notes or any other document made, delivered or given in connection therewith, whether on account of principal, interest, premium, fees, indemnities, costs, expenses or otherwise (including, without limitation, all fees and disbursements of counsel to the Noteholder that are required to be paid by the Company pursuant to the terms of the Note Agreements, the Notes, this Agreement or any other Security Document).
Note Agreement Obligations means the collective reference to the unpaid principal of, interest on and premium, if any, on the Notes and all other debts, obligations and liabilities of the Borrower to the Collateral Agent or the Noteholders (including, without limitation, the Make- Whole Amount (as defined in the Note Agreement), interest accruing at the then applicable rate provided in the Note Agreement after an Event of Default (as defined in the Note Agreement) or after the maturity of the Notes and interest accruing at the then applicable rate provided in the Note Agreement after the filing of any petition in bankruptcy, or the commencement of any insolvency, reorganization or like proceeding, relating to the Borrower, whether or not a claim for post-filing or post-petition interest is allowed in such proceeding), whether direct or indirect, absolute or contingent, due or to become due, or now existing or hereafter incurred, which may arise under, out of, or in connection with, the Note Agreement, any Notes or any other document made, delivered or given in connection therewith, whether on account of principal, interest, premium, fees, indemnities, costs, expenses or otherwise (including, without limitation, all fees and disbursements of counsel to the Collateral Agent or the Noteholders that are required to be paid by the Borrower pursuant to the terms of the Note Agreement, the Notes, or this Agreement).
Note Agreement Obligations means the “Note Agreement Obligations” as defined in the Intercreditor Agreement.

  • Credit Agreement Obligations means the “Obligations” as defined in the Credit Agreement.

  • Financial Instrument Obligations means obligations arising under:

  • Rate Management Obligations of a Person means any and all obligations of such Person, whether absolute or contingent and howsoever and whensoever created, arising, evidenced or acquired (including all renewals, extensions and modifications thereof and substitutions therefor), under (i) any and all Rate Management Transactions, and (ii) any and all cancellations, buy backs, reversals, terminations or assignments of any Rate Management Transactions.

  • Cash Management Obligation means, as applied to any Person, any direct or indirect liability, contingent or otherwise, of such Person under or in respect of a Cash Management Agreement.

  • Net Obligation means the amount owed to PJMSettlement and PJM for purchases from the PJM Markets, Transmission Service, (under Tariff, Parts II and III , and other services pursuant to the Agreements, after applying a deduction for amounts owed to a Participant by PJMSettlement as it pertains to monthly market activity and services. Should other markets be formed such that Participants may incur future Obligations in those markets, then the aggregate amount of those Obligations will also be added to the Net Obligation.

  • Treasury Management Obligations means, collectively, all obligations and other liabilities of any Loan Parties pursuant to any agreements governing the provision to such Loan Parties of treasury or cash management services, including deposit accounts, funds transfer, automated clearing house, zero balance accounts, returned check concentration, controlled disbursement, lockbox, account reconciliation and reporting and trade finance services.
