THE NOTES AND INTEREST. (a) The Loan shall be evidenced by the Notes. The Loan shall bear interest at the rate or rates set forth hereinafter. The entire principal amount of the Loan shall be due and payable on the Loan Termination Date. The unpaid principal balances of the Loan shall bear interest from the Effective Date on disbursed and unpaid principal balances (calculated on the basis of a 360-day year for actual days elapsed) at a rate per annum which shall, from day to day, be equal to the lesser of (i) the Maximum Rate, or (ii) a rate equal to the Applicable Rate.
THE NOTES AND INTEREST. The Revolving Credit Loan shall be evidenced by promissory notes of Borrower payable to the order of each Lender in the aggregate principal amount of each Lender’s Revolving Commitment, in form substantially the same as the copy of the Note, attached hereto as Exhibit “C”. The entire aggregate principal amount of the Revolving Credit Loan shall be due and payable on the Termination Date of Revolving Credit Loan.

The unpaid principal balances of the Revolving Credit Loan shall bear interest from the Closing Date, and any future date when an advance under the Loan is made, on disbursed and unpaid principal balances (calculated on the basis of a year of 365 or 366 days as is appropriate) at a rate per annum as specified in the Note. Said interest shall be payable monthly on the fifth (5th) day of each month. Administrative Agent shall mail to Borrower a billing notice at least ten (10) days prior thereto setting forth the payment amount next due, but any failure to send such notice shall not relieve Borrower of the obligation to pay accrued interest. The final installment of interest, together with the entire outstanding principal balance of the Revolving Credit Loan, shall be due and payable on the Termination Date of Revolving Credit Loan. The first selection of the one (1) month, three (3) months, six (6) months, or LIBOR Rate shall be made by Borrower on or prior to the date of the Notes and each selection thereafter shall be made at least twenty-four (24) hours prior to the end of the then applicable interest rate period. Borrower may not ever select a rate period which exceeds the Termination Date of the Revolving Credit Loan. In the event funding at the LIBOR Rate is not available as a matter of law, funding to the extent allowed hereunder shall be at the Base Rate; however, the interest rate shall never be less than four and fifty hundredths percent (4.50%) per annum.)
THE NOTES AND INTEREST. The Revolving Credit Loan shall be evidenced by the Second Amended and Restated Revolving Credit Note and shall be in form substantially as attached hereto as EXHIBIT "A." The entire principal amount of the Loan shall be due and payable on the Termination Date of the Loan. The unpaid principal balances of the Loan shall bear interest as set out in Section 2.3 hereof.

  • Payment of Principal and Interest; Defaulted Interest (a) Each Class of Notes shall accrue interest at the related Interest Rate, and such interest shall be due and payable on each Payment Date as specified therein, subject to Sections 3.01 and 11.12 hereof. Any installment of interest or principal, if any, payable on any Note that is punctually paid or duly provided for by the Issuer on the applicable Payment Date shall be paid to the Person in whose name such Note (or one or more Predecessor Notes) is registered on the Record Date by check mailed first-class postage prepaid to such Person’s address as it appears on the Note Register on such Record Date, except that, unless Definitive Notes have been issued pursuant to Section 2.11, with respect to Notes registered on the Record Date in the name of the nominee of the Clearing Agency (initially, such nominee to be Cede & Co.), payment will be made by wire transfer in immediately available funds to the account designated by such nominee and except for the final installment of principal payable with respect to such Note on a Payment Date, a Redemption Date or on the related Final Scheduled Payment Date, as the case may be (and except for the Redemption Price for any Note called for redemption pursuant to Section 10.01), which shall be payable as provided below. The funds represented by any such checks returned undelivered shall be held in accordance with Section 3.03.

  • Repayment of Principal and Interest (a) The entire outstanding principal balance of the Loans shall be due and payable by no later than 5:00 p.m. (Eastern time) on the Business Day on which the Loan is due, together with all remaining accrued and unpaid interest thereon, unless an extension of no more than three additional days is authorized by the Lending Company.

A fee may be charged by the Indenture Trustee to a Noteholder of Definitive Notes for any payment made by wire transfer. Any installment of interest or principal not punctually paid or duly provided for shall be payable as soon as funds are available to the Indenture Trustee for payment thereof, or if Section 5.07 applies, pursuant to Section 5.07.

  • Unconditional Right of Noteholders to Receive Principal and Interest Notwithstanding any other provision in this Indenture, other than the provisions hereof limiting the right to recover amounts due on the Notes to recoveries from the property comprising the Trust Estate, the Noteholder of any Note shall have the absolute and unconditional right to receive payment of the principal of, and interest on, such Note as such payments of principal and interest become due, including on the Stated Maturity, and such right shall not be impaired without the consent of such Noteholder.
