Notice of Interest Election definition

Notice of Interest Election has the meaning set forth in Section 2.15(a).

Notice of Interest Election means a Notice of Interest Election in the form of Exhibit H.

Examples of Notice of Interest Election in a sentence

• If no Notice of Interest Election is timely received prior to the end of an Interest Period for any Group of Loans, such Borrower shall be deemed to have elected that such Group of Loans be converted to Base Rate Loans as of the last day of such Interest Period.

• If no Notice of Interest Election is timely received prior to the end of an Interest Period for any Group of Loans, the Borrower shall be deemed to have elected that such Group of Loans be converted to Base Rate Loans as of the last day of such Interest Period.

• If the Borrower fails to deliver a timely and complete Notice of Interest Election with respect to a LIBOR Advance prior to the end of the LIBOR Period therefor, then such Advance is automatically continued in whole as a LIBOR Advance to the next applicable LIBOR Period upon the expiration of the then current LIBOR Period with respect thereto.

• Capitalized terms used but not otherwise defined in this Notice of Interest Election shall have the meanings assigned to such terms (whether directly or by reference to another agreement or document) in the Credit Agreement.

• Each such notification shall be irrevocable and shall be in writing (or by telephone promptly confirmed in writing) signed by the Borrower, in substantially the form of Exhibit H (the "Notice of Interest Election Request").

• If any such Notice of Interest Election Request requests a Eurodollar Borrowing but does not specify an Interest Period, then the Borrower shall be deemed to have selected an Interest Period of one month's duration.

• To make an election pursuant to this Section, Borrower shall deliver, by hand delivery or telecopier, a duly completed and executed Notice of Interest Election to EDC not later than 11:00 a.m. (New York City time), three (3) Business Days prior to the end of the current Interest Period.

• In Brazil, the band that defines by law the level of anhydrous ethanol in gasoline ranges between 19 and 26%.

More Definitions of Notice of Interest Election

Notice of Interest Election means a notice given by the Borrower in accordance with the terms of Section 2.11 and substantially in the form of Exhibit D, or such other form as shall be approved by the Administrative Agent.
