Number of Shares means a number of shares calculated as follows: Par / Geared Put Strike LPU rounded down to the nearest round lot as permitted by the Exchange for trading purposes, and the remaining fractional share amount (being the “Residual Amount”) shall be paid in USD as the Cash Residual; and
Number of Options For each Component, as provided in Annex A to this Confirmation.6 Option Entitlement: One Share Per Option Strike Price: USD [_____] Cap Price: USD [_____]; provided that in no event shall the Cap Price be reduced to an amount less than the Strike Price in connection with any adjustment by the Calculation Agent under this Confirmation.
Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.
Over-Allotment Option means the option of the Underwriters to purchase up to an additional 15 per cent of the firm units (as described in the Articles) issued in the IPO at a price equal to US$10 per unit, less underwriting discounts and commissions.
Maximum Number of Shares is defined in Section 2.1.4.
Number or "Identifier" means any number, IP address, e-mail address or other identifier provisioned by Carriers, their agents or the Equipment manufacturer to be used with Service.
Coop Shares Shares issued by a Cooperative Corporation.
Programme Maximum Number of ETP Securities means 1,000,000,000.
Initial Warrant Exercise Date means __________, 1997.
Offering Periods means the periods of approximately ---------------- twenty-four (24) months during which an option granted pursuant to the Plan may be exercised, commencing on the first Trading Day on or after May 1 and November 1 of each year and terminating on the last Trading Day in the periods ending twenty-four months later; provided, however, that the first Offering Period under the Plan shall commence with the first Trading Day on or after the date on which the Securities and Exchange Commission declares the Company's Registration Statement effective and ending on the last Trading Day on or before April 30, 2002. The duration and timing of Offering Periods may be changed pursuant to Section 4 of this Plan.
Option 2 Annual Actual O&M Expenses
Offering Period means a period with respect to which the right to purchase Common Stock may be granted under the Plan, as determined by the Committee pursuant to Section 5(a).
Number of Students Who Began the Program means the number of students who began a program who were scheduled to complete the program within 100% of the published program length within the reporting calendar year and excludes all students who cancelled during the cancellation period.
Number of Students Who Began Program means the number of students who began the program who are scheduled to complete the program within the reporting calendar year.
Offering Price has the meaning given to it in the first paragraph of this Agreement;
Reload Option means any Option granted under Section 6(a)(iv) of the Plan.
Vested Shares means "Vested Shares" as defined in the Award Agreement.
Share Option means a Nonqualified Share Option or an Incentive Share Option.
Reserved Shares means initially, [ ] Shares. The Reserved Shares may be increased or decreased in a Supplemental Confirmation.
Net metering period means the 12-month period following the date of final interconnection of the
Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.
VMTP Shares has the meaning set forth in the preamble to this Agreement.
Approved Share Plan means any employee benefit plan which has been approved by the board of directors of the Company prior to or subsequent to the date hereof pursuant to which Ordinary Shares and standard options to purchase Ordinary Shares may be issued to any employee, officer, director or advisers for services provided to the Company in their capacity as such.
Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;
DSUs means the outstanding deferred share units issued under the DSU Plan.
SARS means the South African Revenue Service.
