OCM ENTITY SHARES means all the Securities now and hereafter held by OCM, any OCM Affiliate, TCW or any TCW Affiliate.
OCM ENTITY SHARES means all the Securities now and hereafter held by OCM, an OCM Affiliate, TCW or a TCW Affiliate.
sweat equity shares means equity shares issued by a company to its employees or directors at a discount or for consideration other than cash for providing know-how or making available rights in the nature of intellectual property rights or value additions, by whatever name called;
Equity Shares shall have the meaning attributed to such term in the recitals of this Agreement;
Company Shares means the common shares in the capital of the Company;
Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.
Newco Shares means the common shares in the capital of Newco;
Coop Shares Shares issued by a Cooperative Corporation.
Merger Shares has the meaning set forth in Section 2.2(c).
VMTP Shares has the meaning set forth in the preamble to this Agreement.
Subco Shares means the common shares in the capital of Subco;
Consideration Shares has the meaning ascribed thereto in Section 2.2.
Acquisition Shares means each class of shares of beneficial interest of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.
ASA Shares has the meaning set forth in 2.4(a).
Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.
Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).
Company Shareholder means a holder of Company Shares.
Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).
Exchange Shares has the meaning set forth in Section 2.01(b).
Co-op Shares Shares issued by private non-profit housing corporations.
Company Securities has the meaning set forth in Section 3.02(b)(ii).
Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.
Minority Shareholders means holders of Shares that were not tendered pursuant to the Offer or in the Subsequent Offering Period (as it may be extended by the Minority Exit Offering Period).
Acquired Shares has the meaning set forth in the Recitals.
Other Selling Stockholders means persons other than Holders who, by virtue of agreements with the Company, are entitled to include their Other Shares in certain registrations hereunder.
Majority Shareholder means a holder of more than fifty percent (50%) of the outstanding stock of the Company, or if no person holds more than fifty percent (50%) of the outstanding stock of the Company, the holder of a plurality of the outstanding stock of the Company.
Subsidiary Shares shall have the meaning specified in Section 6.3 [Subsidiaries].
Amalco Shares means the common shares in the capital of Amalco;
