Officer Obligations means the obligations or liabilities of the Company or any of its Subsidiaries to its directors, Senior Executives, Employees and consultants for severance or termination payments in connection with the termination of their employment or service upon a change of control of the Company pursuant to any written employment agreements or otherwise, as set out in the Company Disclosure Letter.
Officer Obligations means any obligations or liabilities of the Company or any of its Subsidiaries in existence on the date hereof to pay any amount to its officers and/or directors (other than for salary, benefits and directors’ fees in the ordinary course) and, without limiting the generality of the foregoing, Officer Obligations shall include the obligations of the Company or any of its Subsidiaries to officers and/or directors for severance or termination payments on a change of control of the Company pursuant to any employment agreements or otherwise in existence on the date hereof.
Officer Obligations means any obligations or liabilities of CanniMed or any of its subsidiaries to pay any amount to its employees, officers and/or directors and, without limiting the generality of the foregoing, Officer Obligations shall include the obligations of CanniMed or any of its subsidiaries to employees, officers and/or directors for severance or termination payments in connection with a Change of Control of CanniMed pursuant to any employment agreements or otherwise in existence on the date hereof;

Officer Obligations and Transaction Costs, respectively, do not exceed the amounts set forth in Schedule C, and Officer Obligations will not be paid out to the extent that aggregate Transaction Costs exceed $500,000.

Neither Zorin nor any Zorin Subsidiary has any employee benefit plans other than: (i) the Stock Option Plan; and (ii) existing health, dental, vision and short and long term disability plans, life insurance and accidental death and dismemberment of general application and agreements and promises contemplated by the Officer Obligations and has made no promises with respect to increased benefits under such plans.
AltaRex has no liabilities, commitments, guarantees or any other obligations whatsoever to any person with respect to any liabilities, commitments or obligations of the AltaRex Subsidiary, including, but not limited to, any Officer Obligations.
More Definitions of Officer Obligations
Officer Obligations means the obligations of Harvest or any of its subsidiaries to its officers for severance or termination payments in connection with a termination of employment or change of control of Harvest pursuant to any written agreements, in each case as listed in the Disclosure Letter;
Officer Obligations means any obligations or liabilities of Xxx Xxxxx to pay any amount to its officers, directors, employees or consultants, other than for salary or directors' fees in the ordinary course, in each case in amounts consistent with historic practices, and obligations or liabilities in respect of insurance or indemnification contemplated by this Agreement or arising in the ordinary and usual course of business and subject to Corporate Laws and, without limiting the generality of the foregoing, Officer Obligations shall include the obligations of Xxx Xxxxx to officers, employees or consultants for: (i) severance, termination or other payments on or in connection with the change of control of Xxx Xxxxx pursuant to any executive involuntary severance and termination agreements in the case of officers and pursuant to Xxx Xxxxx'x xxxxxxxxx policy in the case of employees; (ii) retention bonus payments pursuant to any retention bonus program; and (iii) commissions, bonuses or other amounts payable to any employees, officers, directors or consultants in connection with acquisitions by Xxx Xxxxx, including in connection with the Arrangement, with the aggregate amounts of (i), (ii) and (iii) above, as disclosed in writing to Rolling Thunder, to be $300,000;
Officer Obligations means any existing written obligations or liabilities of ICP or any of its subsidiaries to pay any amount to its officers, directors or employees, other than for salary, bonuses under their existing bonus arrangements and directors' fees in the ordinary course and, without limiting the generality of the foregoing, shall include the obligations of ICP or any of its subsidiaries to officers or employees, in each case to the extent disclosed in the Disclosure Schedule or the SEC Reports (i) for severance or termination payments on the change of control of ICP pursuant to any executive involuntary severance and termination agreements in the case of officers and pursuant to ICP's severance policy in the case of employees, and (ii) for retention bonus payments pursuant to any retention bonus program;
Officer Obligations means any obligations or liabilities of Augusta or any of its subsidiaries to pay any amount to its employees, officers and/or directors and, without limiting the generality of the foregoing, Officer Obligations shall include the obligations of Augusta or any of its subsidiaries to employees, officers and/or directors for severance or termination payments in connection with a Change of Control of Augusta pursuant to any employment agreements or otherwise in existence on the date hereof that have been disclosed in writing (both as to its amount and the circumstances of its payment) by Augusta to the Offeror in the Augusta Disclosure Letter;
