OpCo Common Units definition

OpCo Common Units means limited partner interests in the Operating Partnership having the rights and obligations specified with respect toCommon Units” in the OpCo Partnership Agreement, as it may be amended, supplemented or restated from time to time.
OpCo Common Units means the “Common Units” of OpCo as defined in the OpCo LLCA.
OpCo Common Units has the meaning set forth in the recitals.

  • The determination of the Board of Directors as to the number of OpCo Common Units held of record by NEE Equity and the number of Special Voting Units held by NEE Equity shall be made by a good faith determination of the Board of Directors, based on the books and records of the Operating Partnership, which determination shall, absent manifest error, be conclusive and binding on all Partners.

  • The determination of the General Partner as to the number of OpCo Common Units held of record by NEE Equity and the number of Special Voting Units held by NEE Equity shall be made by the General Partner in its sole discretion absent manifest error, which determination shall be conclusive and binding on all Partners.

  • For the avoidance of doubt, if there is any reclassification, reorganization, recapitalization or other similar transaction in which the OpCo Common Units, Common Units or Class B Units, as applicable, are converted or changed into another security, securities or other property, this Section 2.3 shall continue to be applicable, mutatis mutandis, with respect to such security or other property.

OpCo Common Units means, collectively, the OpCo Class A Units and OpCo Class B Units.

Related to OpCo Common Units

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Class A Common Units means a Common Unit which is designated as a “Class A Common Unit” and which has the rights, preferences and other privileges designated in Annex A hereto and elsewhere in this Agreement in respect of holders of Common Units.

  • General Partner Units has the meaning assigned to such term in the Partnership Agreement.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • REIT Shares means shares of common stock, $0.01 par value per share, of the Company.

  • OP Units means units of limited partnership interest in the Operating Partnership.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • LLC Units has the meaning set forth in the LLC Agreement.

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.

  • Membership Units means the limited liability company interests in the Company held by the Members, expressed as a number of units held by each Member and set forth opposite such Member's name on Schedule I attached hereto, as amended, modified or supplemented from time to time.

  • Common Unit Economic Balance means (i) the Capital Account balance of the General Partner, plus the amount of the General Partner’s share of any Partner Minimum Gain or Partnership Minimum Gain, in either case to the extent attributable to the General Partner’s ownership of Partnership Common Units and computed on a hypothetical basis after taking into account all allocations through the date on which any allocation is made under Section 6.2.D hereof, divided by (ii) the number of the General Partner’s Partnership Common Units.
