Opinion Delivery Date definition

Opinion Delivery Date means the date specified in the Adoption Annex.
Opinion Delivery Date means March 31, June 30, September 30 and December 31 of each year; provided, however, that if in connection with the issuance of a Series of Certificates an Opinion of Counsel substantially in the form of Exhibit E has been delivered within the three month period preceding any of such dates then such date shall not be an "Opinion Delivery Date."
Opinion Delivery Date means the second Business Day after the satisfaction or waiver (to the fullest extent permissible under applicable Law) of the last to be satisfied or waived of the conditions set forth in Sections 6 (Conditions Precedent to Obligations of Each Party), 7 (Conditions Precedent to Obligations of Parent and Merger Subs) and 8 (Conditions Precedent to Obligations of the Company), other than the condition set forth in Section 8.6 and those conditions that by their nature are to be satisfied at the Closing (unless such conditions would not be expected to be satisfied if the Closing occurred on such date).

  • First Delivery Date means the first date by which the commodity for a Futures Contract can be delivered in order for the terms of the Futures Contract to be fulfilled.

If a Termination Delivery Unit consists of property other than cash or New Shares and Counterparty provides irrevocable written notice to the Calculation Agent on or prior to the Closing Date that it elects to deliver cash, New Shares or a combination thereof (in such proportion as Counterparty designates) in lieu of such other property, the Calculation Agent shall replace such property with cash, New Shares or a combination thereof as components of a Termination Delivery Unit in such amounts, as determined by the Calculation Agent in its discretion by commercially reasonable means, as shall have a value equal to the value of the property so replaced. If such Insolvency, Nationalization, Merger Event or Tender Offer involves a choice of consideration to be received by holders, such holder shall be deemed to have elected to receive the maximum possible amount of cash.

  • Delivery Day means a day other than a Saturday, a Sunday or any other day on which national banking associations are authorized to be closed. Any party may change its address for purposes of the receipt of notices and demands by giving notice of the change in the manner provided in this provision.

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Final Delivery Date means the date the Supplier is entitled to deliver the Products form the Purchaser even if the Products have not been called off as agreed in any Sales Agreement.

  • Withdrawal Opinion of Counsel has the meaning assigned to such term in Section 11.1(b).

  • Closing Certificate means the closing certificate of the Company in the form of Exhibit B hereto.

  • Contractual Delivery Date means the stipulated date on which the contractor shall attain

  • Tax Certificate means the Tax Certificate and Agreement, dated the Closing Date, executed and delivered by the Governmental Lender and the Borrower.

  • Closing Date Certificate means a Closing Date Certificate substantially in the form of Exhibit F-1.

  • Pricing Certificate means a Pricing Certificate substantially in the form of Exhibit C hereto, properly completed and signed by an Authorized Officer of the Borrower.

  • Delivery Time means the time for Delivery stated in the Purchase Order.

  • Closing Notice Has the meaning specified in the NPA. Company: Has the meaning specified in the first paragraph of this Trust Supplement.

  • Seller's Closing Certificate means the certificate of Seller in the form of Exhibit C attached hereto.

  • Delivery Date(s) means the date or dates requested for delivery of Products as set forth in any Order.

  • Favorable Opinion of Bond Counsel means an opinion or opinions of nationally recognized bond counsel to the effect that the action proposed to be taken is authorized or permitted by the Certificate and will not adversely affect the exclusion of interest on the Bonds from gross income for purposes of federal income taxation.

  • Opinion of Bond Counsel means a written opinion of Bond Counsel.
