Option 2 Valuation Period definition

Option 2 Valuation Period means the period of 10 consecutive Trading Days immediately preceding the Put Date associated with the applicable Put Notice during which the Option 2 Purchase Price of the Common Stock is valued.
Option 2 Valuation Period means the period of five (5) consecutive Trading Days immediately following the applicable Put Date during which the Option 2 Purchase Price of the Ordinary Shares are valued.

  • The parties acknowledge and agree that during the Option 1 Valuation Period or Option 2 Valuation Period (as applicable), the Investor may contract for, or otherwise effect, the resale of the subject purchased Put Shares to third-parties.

  • The parties acknowledge and agree that during the Option 1 Valuation Period, Option 2 Valuation Period or Option 3 Valuation Period (as applicable), the Investor may contract for, or otherwise effect, the resale of the subject purchased Put Shares to third-parties, subject to security laws and regulations.

  • The parties acknowledge and agree that during the Option 1 Valuation Period or Option 2 Valuation Period (as applicable), the Investor may, at its discretion, contract for, or otherwise effect, the resale of the subject purchased Put Shares to third-parties, and shall be solely responsible for its compliance with the applicable laws.

  • The parties acknowledge and agree that during the Option 1 Valuation Period, Option 2 Valuation Period or Option 3 Valuation Period (as applicable), the Investor may contract for, or otherwise effect, the resale of the subject purchased Put Shares to third-parties.

Related to Option 2 Valuation Period

  • MCE Valuation Period means, subject to any extension (as described in further detail in the Conditions), the period commencing from and including the moment upon which the Mandatory Call Event occurs and up to the end of the following trading session on the Index Exchange; and

  • Merger Valuation Period for any Merger Event means the five consecutive Trading Day period immediately preceding, but excluding, the effective date for such Merger Event.

  • Exercise Valuation Date means the first Scheduled Trading Day of the month following the expiry of 35 calendar days after the Exercise Date. For the avoidance of doubt, the 35 calendar day period is mandatory and non-waivable by either the Issuer or the Holder.

  • Call Valuation Date means the first Scheduled Trading Day of the month following the expiry of 35 calendar days after the Issuer’s Call Date. For the avoidance of doubt, the 35 calendar day period is mandatory and non- waivable by either the Issuer or the Holder.

  • Valuation Period shall have the meaning specified in Section 14.04(c).

  • Initial Valuation Date means the Issue Date, provided that if such day is not an Exchange Business Day for a Share then the Initial Valuation Date for that Share will be the first succeeding day that is an Exchange Business Day, subject to the occurrence of a Market Disruption Event. See “DESCRIPTION OF THE NOTES – Market Disruption Event” below for further detail.

  • ST Valuation Date means the Redemption Valuation Date.

  • Annual Valuation Date means the Valuation Date each calendar year so designated by the Trust, commencing in the calendar year 2003.

  • Quarterly Valuation Date means the last Business Day of the last month of each fiscal quarter of the Trust in each fiscal year of the Trust, commencing October 31, 2001.

  • Three-Year Period means, with respect to a Restatement, the three completed fiscal years immediately preceding the date that the Board, a committee of the Board, or the officer or officers of the Company authorized to take such action if Board action is not required, concludes, or reasonably should have concluded, that the Company is required to prepare such Restatement, or, if earlier, the date on which a court, regulator or other legally authorized body directs the Company to prepare such Restatement. The “Three-Year Period” also includes any transition period (that results from a change in the Company’s fiscal year) within or immediately following the three completed fiscal years identified in the preceding sentence. However, a transition period between the last day of the Company’s previous fiscal year end and the first day of its new fiscal year that comprises a period of nine to 12 months shall be deemed a completed fiscal year.

  • Determination Period means the period from and including a Determination Date in any year to but excluding the next Determination Date; and

  • Call Option Period has the meaning given to it in Condition 6.04 (Call Option);

  • Evaluation Period bears the meaning ascribed thereto in Section 7.4(d)(i);

  • Bid Valuation Date means May 10, 2010.

  • Tax Limitation Period means the Tax Years for which the Applicant’s Qualified Property is subject to the Tax Limitation Amount and as further identified in Section 2.3.D of this Agreement.

  • SPS Valuation Date means the SPS FR Barrier Valuation Date or the Strike Date, as applicable.

  • Nomination Period means a period of time that Customer includes in a nomination for gas service.

  • FX Valuation Date means the FX Calculation Date immediately following the respective Valuation Date.

  • MFP Valuation Date means the MFP Settlement Valuation Date;

  • Option Period means the period during which an Option may be exercised.

  • Auto-Call Valuation Date means, in respect of an Index and subject to the Adjustment Provisions, each day specified as such in the definition of Auto-Call Trigger Level, or if any such day is not a Scheduled Trading Day for such Index, the next following Scheduled Trading Day in respect of such Index.

  • Rolling Period means, as of any date, the four Fiscal Quarters ending on or immediately preceding such date.

  • Interest Valuation Date means each date set out in the table below in the column entitled “Interest Valuation Dates”.

  • Election Period means the period immediately preceding the beginning of each Plan Year established by the Administrator, such period to be applied on a uniform and nondiscriminatory basis for all Employees and Participants. However, an Employee's initial Election Period shall be determined pursuant to Section 5.1.

  • Contract Transition Period means the 90 day transition as defined in Section F of this Contract.

  • Scheduled Valuation Date means any original date that, but for the occurrence of an event causing a Disrupted Day, would have been a Valuation Date.
